ATTACH MEN T E <br />General Contract Provisions <br />Article 1: Legal Authority and Indemnification <br />The SUBCONTRACTOR warrants and assures CAPCOG that it possesses adequate legal authority to <br />enter into this Contract. The SUBCONTRACTOR'S governing body where applicable has authorized <br />the signatory official (s) to enter into this Contract and bind the SUBCONTRACTOR to the terms of this <br />Contract and any subsequent amendments hereto. The SUBCONTRACTOR agrees to adhere to the <br />provisions of Section 361.014 of the Texas Health and Safety Code, Title 30 Texas Administrative Code <br />section 330.569, to the provisions of section 330.59 of the TCEQ Municipal Solid Waste Regulations, <br />thisagreement and the Uniform Grant Management Standards( "UGMS'). <br />I ndemnification <br />(a) To the extent allowed by Texas law, SUBCONTRACTOR agrees at its own expense to defend <br />CAPCOG and TCEQ, their governing body members, officers, employees, and agents, against <br />any claim, suit, or administrative proceeding, and to indemnify them against any liability <br />(including all expenses and reasonable counsel fees incurred), arising out of any act or <br />omi ssi on of SU BCO N TRACTO R s govern i ng body member, offs cer, em pl oyee, or agent u nder <br />this Contract. <br />(b) If SUBCONTRACTOR is served with process in a suit or proceeding described in %bsection <br />(a), SU BCO NTRACTO R agrees to furnish CAPCOG promptly with a copy of the process <br />(c) SUBCONTRACTOR agrees that its indemnification obligations under Subsection (a) apply to <br />causes of action accruing during the term of this Contract, and that for this purpose the <br />obligationswill survivethe ending or early termination of this Contract. <br />Article 2: Scope of Services <br />The services to be performed by the SUBCONTRACTOR are herewith outlined in the General <br />Contract Provisions (Attachment E) and the Special Contract Provisions (Attachment A), which are <br />hereby incorporated into and made a part of this Contract as if set out word - for -word herein. <br />Article 3: Purpose <br />(a). The purpose of this Contract is to accomplish the goals of the Solid Waste Disposal Act of <br />1989, as amended, as they relate to distributing solid waste fee revenue funds to support local <br />and regional solid waste projects consistent with the regional solid waste management plans <br />approved by the TCEQ and to update and maintain those plans. <br />CAPCOG FY2012 Solid Waste Interlocal Contract 23 <br />
