<br /> (i) To enter into a Subzone Operator Agreement substantially in <br /> the form attached hereto as Exhibit B with any Interested Company <br /> granted a Foreign-Trade Subzone under the Port's Zone. <br /> ARTICLE II. <br /> (a) To the extent allowed by law, the City agrees to protect, <br /> indemnify, defend and hold the Port harmless from any and all claims, <br /> liabili ty, cost, expense, damage or loss of whatever nature, directly <br /> or indirectly resulting from, arising out of, in connection with, or <br /> related to a reduction of any local tax revenue, including but not <br /> limited to, tax revenue payable to Hays County, San Marcos Consoli- <br /> dated Independent School District in which a Foreign-Trade Subzone may <br /> be 10cated or the City, resulting from the establishment of a Foreign- <br /> Trade Subzone under the PortIs Zone in the San Marcos area. <br /> (b) All promotions of Foreign-Trade Subzones in the San Marcos <br /> area shall be at the initiative and cost of the City. <br /> (c) The "San Marcos Area" is that area comprised of the City <br /> boundaries and its extra-territorial jurisdiction, as the same may be <br /> expanded from time to time. <br /> ARTICLE III. <br /> (a) City understands that a Foreign-Trade Subzone under the <br /> Port's Zone shall only be available to companies located in the San <br /> Marcos area. The City shall submit a written request signed by its <br /> Mayor and the President of the Interested Company addressed to the <br /> Port requesting that the Port enter into negotiations with such <br /> -4- <br />
