<br /> (i) It is understood that the Port is not acting as City's agent <br /> when performing its obligations hereunder and that the City is not <br /> acting as the Port's agent when performing its obligations hereunder. <br /> ARTICLE IV. <br /> The parties agree that if this agreement, or any term, provision, <br /> covenant, or condition of this agreement, is held or determined to be <br /> invalid, void, or unenforceable by a court of competent jurisdiction, <br /> the United States Foreign-Trade Zones Board, United States Customs or <br /> any other federal or state regulatory agency having jurisdiction over <br /> this agreement, neither party hereto shall have recourse against the <br /> other party as a result of such holding or determination. <br /> ARTICLE V. <br /> This agreement shall remain in full force and effect until termi- <br /> nated as provided in this article. This agreement may be terminated <br /> without cause by either party giving a one year written notice of <br /> termination to the other party. In addition, this agreement may be <br /> terminated by either party giving thirty (30) days written notice of <br /> termination to the other party if such other party defaults in the <br /> performance of any obligation of such party under this agreement or <br /> materially breaches any of the provisions hereof applicable to such <br /> party. If this agreement is terminated as provided in this article, <br /> neither the Port nor the City shall have any further obligations here- <br /> under after the date of such termination; provided, however that ter- <br /> mination of this agreement shall not affect any Subzone Operator <br /> Agreements which have theretofore been entered into pursuant to this <br /> agreement. <br /> -7- <br />
