<br /> 27 <br /> AMENDMENT TO OPERATING AGREEMENT <br /> BETWEEN THE LOWER COLORADO RIVER <br /> AUTHORITY AND THE CITY OF SAN MARCOS, TEXAS <br /> This Ägreement is between Lower Colorado River Authority <br /> (hereinafter NLCRAN), a public corporation created and existing <br /> under and by virtue of the laws of the state of Texas, with its <br /> principal office at Austin, in Travis County, Texas, and the City <br /> of San Marcos (hereinafter "CITYN), a municipality organized and <br /> existing under the laws of the state of Texas, located in Hays <br /> County, Texas. <br /> LCRA and CITY entered into an operating Agreement whereby <br /> LCRA will act as the CITY's Operating Agent to maintain, operate, <br /> replace and extend the transmission and distribution facilities <br /> purchased by CITY from LCRA in a safe, reliable, economic and <br /> efficient manner. A copy of the Operating Agreement dated July <br /> 24, 1986, is attached hereto and marked as Exhibit NA.N This <br /> Operating Agreement, insofar as it is not inconsistent with the <br /> terms hereof, shall remain in full force and effect and is made a <br /> part of this Agreement. <br /> LCRA and CITY desire, and do hereby amend the Operating <br /> Agreement attached hereto as Exhibit NAN in the following <br /> respects: <br /> 1. Section 1.1 of Article 1 entitled NTermN is hereby <br /> amended by deleting the existing paragraph and substituting it <br /> with the following paragraph as follows: <br /> This Agreement, in accordance with the terms <br /> hereinafter set forth, will become effective on September 1, <br /> 1986, and this initial term shall extend to April 30, 1991. <br /> This Agreement will remain in effect after April 30, 1991, <br /> on a year-to-year basis unless terminated by either party in <br /> accordance with the provisions of Section 7.1 of Article 7 <br /> herein. <br /> 2. Section 7.1 of Article 7 entitled NTerminationN shall <br /> be amended by deleting the existing paragraph and substituting it <br /> with the following paragraph: <br /> -1- <br />
