<br /> SECTION IV INVOICING AND PAYMENT: <br /> A. Equipment, Software, Training, and Installation: <br /> 1. Twenty-five percent (25%) with Purchase Order. <br /> 2. Twenty-five percent (25% with delivery of equipment. <br /> 3. Twenty-five percent (25%) upon completion of <br /> installation and training for water/wastewater utility. <br /> 4. Twenty-five percent (25%) upon completion of <br /> installation and training for electric utility. <br /> For purposes of items 3 and 4, installation shall be <br /> complete upon successful completion for each respective <br /> utility, of all elements of Section III. <br /> B. Programming necessary to load required data to the personal <br /> computer and return captured data to host computer will be <br /> provided to NCC remote processing clients at the current <br /> published rates for programming services. The programming <br /> necessary to load required data to the personal computer and <br /> return capture data to the host computer for clients not using <br /> NCC remote processing services or NCC/ISG Systems is the <br /> client's responsibility. NCC may provide assistance upon <br /> request at NCC's current hourly rates. <br /> C. The monthly recurring cost for NCC remote processing clients <br /> equates to the standard contract published rate for one (1) <br /> file pass per month plus any associated lines printed. (This <br /> applies only to clients using NCC remote processing services). <br /> D. All invoices are due and payable upon receipt of invoice. <br /> SECTION V OWNERSHIP, TERMS, AND CONDITION: <br /> A. Title to Software. Customer shall have a nontransferable, <br /> nonexclusive right to use the software described in SECTION I <br /> of this agreement. The Customer shall not have the right to <br /> duplicate or reproduce programs for use by any business other <br /> than those owned or operated by Customer. <br /> B. Customer will maintain records of the number and location of <br /> all copies of licensed program materials and will notify NCC <br /> in writing if the original or any copy of the licensed program <br /> materials will be kept at an installation other than that of <br /> the machine designated in the applicable supplement. <br /> C. Customer will not provide or otherwise make available any <br /> licensed program materials in any form, except as required by <br /> law, without NCC's prior written consent except to Customer <br /> employees, NCC employees, or other person during the period <br /> they are on Customer's premises for the purposes specifically <br /> related to Customer's use of the licensed program. <br />
