<br /> License may be terminated by Buyer only when all licensed program <br /> materials licensed hereunder are discontinued and all licensed <br /> program materials have been returned to Itron or destroyed. <br /> 3.02 Itron may revoka the Software License upon ninety (90) <br /> days written notice if Buyer fails to comply with the terms and <br /> conditions of this Software License or of any other agreement <br /> between Itron and Buyer. <br /> 4. License <br /> 4.01 Each license granted under this Software License <br /> authorizes Buyer to: <br /> (a) use the licensed program materials in machine readable form <br /> on the machine or machines (hereinafter referred to as <br /> "machine") for such licensed program materials and in <br /> conjunction therewith to store the licensed program <br /> materials in, transmit them through or display them on <br /> units associated with such designed machine; <br /> (b) copy the licensed program materials in machine readable <br /> form into any machine readable or printed form to provide <br /> sufficient copies to support Buyer's use of the licensed <br /> program, as authorized under this Software License. Buyer <br /> may copy or reproduce documentation, manuals and printed <br /> program materials as required to support the Buyer's <br /> operational needs, provided records are kept of such <br /> reproduction and documentation control is maintained, as <br /> provided herein. <br /> 4.02 No right to use, print, copy or display the licensed <br /> program materials, in whole or in part, is granted hereby except as <br /> expressly provided in this Software License. <br /> 5. Charges <br /> 5.01 Charges applicable to each licensed program and <br /> associated programming services are the one-time charges for the <br /> product. Any additional time and expense charges will be at Itron's <br /> then applicable rates. <br /> 6. Risk of Loss <br /> 6.01 If licensed program materials are lost or damaged <br /> during shipment from Itron, Itron will replace such licensed program <br /> materials and program storage media at no additional charge to <br /> Buyer. If licensed program materials are lost or damaged while in <br /> the possession of Buyer, Itron will replace such licensed program <br /> materials at the applicable charges, if any, for processing, <br /> distribution, and/or program storage media. <br /> 2 <br />
