CITY COUNCIL AUTHORIZATION This Agreement was approved by Resolution of the City Council at its Council Meeting on the 24th day of April, 1989, authorizing the Mayor to execute this Agreement on behalf of the City. XII. AUTHORIZATION BY ROHR This Agreement was entered into by Rohr pursuant to authority granted by its Board of Directors on the 7th day of April, 1989, whereby one or more officers of Rohr were authorized to execute this Agreement on behalf of Rohr, a certified copy of which authorization is attached hereto as Exhibit B. XIII. SEVERABILITY In the event any section, subsection, paragraph, sentence, phrase or word is held invalid, illegal or unconstitutional, the balance of this Agreement shall stand, shall be enforceable and shall be read as if the parties intended at all times to delete said invalid section, subsection, paragraph, sentence, phrase or word. XIV. APPLICABLE LAH This Agreement shall be construed under the laws of the State of Texas. Venue for any action under this Agreement shall be in the State District Court of Hays County, Texas. This Agreement is performable in Hays County, Texas.
