-16- the LESSEE shall use the premises in compliance with all other requirements imposed by or pursuant to 49 CFR Part 21, Nondiscrimination in Federally Assisted Programs of the Department of Transportation, and as said Regulations may be amended. xv. LESSOR represents and warrants that LESSOR has full right and lawful authority to enter into and perform LESSOR'S obligations under th i s Ag reemen t for the full term of this Agreement and has title to said demised premises as shown by the indenture between the United States of America and LESSOR. XVI. LESSOR further covenants that if LESSEE shall discharge the obligations herein set forth to be performed by LESSEE and shall comply with all applicable local, state and federal laws, rules and regulations, LESSEE shall have and enjoy during the term hereof, quiet and undisturbed possession of said demised premises and all appurtenances appertaining thereto, together with the right to use the runways and taxiways of said Airport as contemplated herein; provided, however, that this Agreement is subject to the prior approval of the Federal Aviation Administration, and the United States of America to take a portion of said Airport for air traffic control activities, weather reporting activities and/or communication activities related to air traffic control, all as provided in said indenture, and in such event, the provisions of this Agreement, insofar as they are inconsistent with such rights of the United States of America and the Federal Aviation Administration shall be suspended. Further, this Agreement shall be subordinate to the provisions of any existing or future agreement between LESSOR and the United States of America relative to the operation or maintenance of Airport, the execution of which has been or may be required as a condition precedent to the expenditure of federal funds for the development of the Airport; provided that if such agreement restricts the operation of the demised premises, equitable rental reductions shall be negotiated. In the event that such rental reductions cannot be negotiated, then this Agreement shall terminate and end sixty (60) days thereafter, and the parties shall have no further obligations hereunder.
