<br /> III <br />STATE OF TEXAS <br /> CONSENT TO ASSIGNMENT OF LEASE <br /> AND ASSIGNMENT OF LEASE <br />COUNTY OF CALDWELL <br />KNOW ALL PERSONS BY THESE PRESENTS: <br /> WHEREAS, a lease entitled Consolidation And Amendment Of Leases <br />dated 8-14-89 by and between the City of San Marcos, Texas, as <br />Lessor and GT+3 Flight Operations, Inc. as Lessee was entered into <br />concerning the property located at the San Marcos Municipal Airport, <br />Caldwell County, Texas (hereinafter referred to as the "Lease"), a copy <br />of said Lease being attached hereto and incorporated herein for all <br />purposes; and, <br /> WHEREAS, GT+3 Flight Operations, Ine., also hereinafter referred <br />to as Assignor, has sold and conveyed its interest in the business <br />known as GT+3 Flight Operations,Inc., including the above-referenced <br />Lease, to the following Party: Aviation Professionals, Inc., <br />hereinafter referred to as Assignee; <br /> Now, therefore, pursuant to said transfer, for good and valuable <br />consideration, receipt of which is hereby acknowledged, Assignor hereby <br />assigns, transfers and delivers all of its right, title or interest in <br />and to the above described premises and Lease to Assignee. <br /> It is hereby agreed and understood by and among the Parties hereto <br />that: <br /> 1.
