XI. The data gathered in the appraisal process (except data furnished by Client) and the appraisal report prepared pursuant to this Agreement will remain the property of the Appraiser. With respect to the data provided by Client, Appraiser shall not violate the confidential information furnished to Appraiser. Appraiser is, however, authorized by Client to disclose all or any portion of the appraisal report and the related appraisal data to appropriate representatives of the American Institute of Real Estate Appraisers and Society of Real Estate Appraisers if such disclosure is required to enable Appraiser to comply with the By-laws and Regulations of such Institute and Society now or hereafter in effect. XII. This agreement represents the entire Agreement between Client and Appraiser and supersedes all prior negotiations, representations, or agreements, either written or oral. This agreement may be terminated by either party upon five (5) days prior written notice. In such event, Appraiser shall be paid for all services actually performed in accordance with this agreement prior to the termination date. If the project is suspended or abandoned in whole or in part for more than six (6) weeks, Appraiser shall be compensated for all services performed prior to receipt of written notice from Client of such suspension or abandonment. If the project is then resumed after being suspended for more than six (6) weeks, Appraiser's compensation shall be subject to renegotiation. XIII. This agreement shall be binding upon the heirs, successors and assigns of Client and Appraiser.
