<br /> 9RAW067:00 <br /> director may be called and noticed following the procedures <br /> provided in the Bylaws. The notice of the meeting shall state <br /> that the issue of possible removal of the director will be on the <br /> agenda. The director shall have the right to present evidence at <br /> the meeting as to why he or she should not be removed. A <br /> director may be removed by the affirmative vote of seventy-five <br /> percent (75%) of the Board of Directors. <br /> ARTICLE 5 <br /> Officers <br /> Section 5.01. Officers. The officers of the Corporation <br /> shall be a President, one (1) or more Vice Presidents (the number <br /> thereof to be determined by the Board of Directors), a Secretary/ <br /> Treasurer, and such other officers as may be elected in accor- <br /> dance with the provisions of this Article. All officers are to <br /> be elected from the Board of Directors. The Board of Directors <br /> may elect or appoint such other officers, including one (1) or <br /> more Assistant Secretary/Treasurers, as it shall deem desirable. <br /> Such officers to have the authority to perform the duties <br /> prescribed herein and such other duties prescribed from time to <br /> time by the Board of Directors. Any two (2) or more offices may <br /> be held by the same person, except the offices of President and <br /> secretary/Treasurer. <br /> Section 5.02. Election and Term of Office. The Board of <br /> Directors shall elect the initial officers of the Corporation as <br /> soon as practical. Thereafter, the officers of the Corporation <br /> shall be elected annually by the Board of Directors at the Annual <br /> Meeting.
