-3- SECTION 9. Compliance With Laws. PHS agrees to comply with all applicable lawst ordinances, codes and regulations of the local, state and federal governments including but not limited to those laws, ordinances, codes and regulations pertaining to equal employment opportunity and those pertaining to discrimination against participants. Wi th respect to the requirement of State Law that a contract for- human se rvices to the indigent entered into between a City and a social services organization may not provide for more than 50% of the annual budget of the or-ganization to be derived from City funds, PHS declares that at the time or the execution of this agreement, Eu nd s to be pr-ovided her-eunder do not exceed 50?, of the annual budget of PHS. In the event that such funds do exceed 50% of the annual budget of PHS at any time during which this contr-act is in effect, PHS ag rees to notify City immediAtely so that appropriate monetary .:¡djustments to this contr-act can be made to assure compliance with State Law. SECTION 10. Breach Of Contract. A. If the City Manager of the City determines that the activities as descr-ibed in the human services funding application attacheci hereto are not being carr-ied out as Approved by the City or that PHS is in breach of any of the terms of this agreement, the City Manager shall notify PHS in wr-iting of the deficiency. PHS shall have ten (10) wor-king days from the date of the notice to correct or satisfy the deficiency. R. If the deficiency is not appropriately corrected or satisfieci in the opinion of the City ~1anager within the [Jrescribed time, notice may be given to PHS that its funding will be terminated. C. A decision to terminate funding may he appealed to the City's Human Services Advisory Board within ten days of the date of the notice to terminate funding. During the appeal pr-ocess, funding to PHS shall continue.
