OF THT' CITY OF <br />MARCOS, TEXAS, APPROVING THE TRANSFER OF THE EYISTIN <br />CABLE TELEVISION FRANCHISE FROM KARNACK CORPORATION T <br />MISSION CABLE ASSOCIATES, L.P.; PROVIDING THAT THIS <br />TRANSFER SHALL BE SUBJECT TO ALL EXISTING TERMS <br />THE CABLE TELEVISION FRANCHISE; PROVIDING FOR WRITTEN <br />ACCEPTANCE TO BE FILED BY MISSION CABLE ASSOCIATES, <br />L.P.; AND PROVIDING AN EFFECTIVE DATE. <br /> <br /> <br /> <br />~ <br /> <br />...s;::¡ <br />C <br /> <br />WHEREAS, in Ordinance 1988-48, the City Council of the City of San <br />Marcos, Texas, granted to the Karnack Corporation of San Marcos, Texas <br />(Karnack) a non-exclusive franchise (Franchise) to operate a <br />city-wide cable television signal distribution service, subject to <br />certain specific terms and conditions; and, <br /> <br />WHEREAS, Section 14 of Ordinance 1988-48 authorizes Karnack to <br />transfer the Franchise subject to the written approval of the City <br />Council; and, <br /> <br />WHEREAS, Karnack has requested the approval of the City Council <br />for the transfer of the Franchise to Mission Cable Associates, <br />L.P. (Mission), a limited partnership organized under the laws of the <br />State of Delaware and having its principal place of business in <br />Austin, Texas; and, <br /> <br />WHEREAS, the City Council is satisfied that the information <br />presented by Mission shows it to have the financial responsibility <br />necessary to assume Karnack's obligations under the Franchise. <br /> <br />NOW THEREFORE, <br />SAN MARCOS, TEXAS: <br /> <br />BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF <br /> <br />PART 1. That, subject to all of the existing terms and conditions <br />of the Franchise, approval is hereby given to the transfer of the <br />Franchise from Karnack to Mission and to the pledge or collateral <br />transfer by Mission of the Franchise, and the assets of the cable <br />television system providing service pursuant to the Franchise, to any <br />of Mission's lenders as collateral security for Mission's debts. <br /> <br />PART 2. That Ordinance No. 1988-48 of the City Council of the <br />City of San Marcos, Texas, is hereby amended by substituting the term <br />"Mission Cable Associates, LoP." for the term "Karnack <br />Corporation" wherever the latter appears in the ordinance, and by <br />amending Section 1.02 of the ordinance to read as follows: <br /> <br />1.02 <br /> <br />"Mission" is Mission Cable Associates, L.P., a <br />Delaware limited partnership with its principal place of <br />business in Austin, Travis County, Texas. <br /> <br />PART 3. That Mission shall file its written acceptance of the <br />terms and conditions of this ordinance and of the Franchise on the <br />form attached hereto as Exhibit A within twenty (20) days after the <br />date of the publication of this Ordinance as provid&d in the Charter of <br />the City of San Marcos; otherwise, the approval granted by this <br />ordinance shall be null and void. <br /> <br />PART 4.
