<br />agreement with a provision for a closing date that will allow San <br /> <br />Marcos a reasonable time in which to pay its share of the purchase <br /> <br />cost and expenses related thereto. <br /> <br />Upon payment by San Marcos, <br /> <br />New Braunfels will <br /> <br />grant to San Marcos <br /> <br />a permanent <br /> <br />right to <br /> <br />receive its pro rata share of the treated surface water. <br /> <br />The <br /> <br />right shall include a buyout provision whereby the City of San <br /> <br />Marcos could sell <br /> <br />its <br /> <br />interest to a third party provided New <br /> <br />Braunfels is given a first right of refusal to purchase same for <br /> <br />the original costs of San Marcos for the project. <br /> <br />New Braunfels <br /> <br />would have the same privilege to sell its interest provided San <br />Marcos is given a first right of refusal to purchase the interest <br /> <br />at New Braunfels at its original costs for the project. <br /> <br />The agreement <br /> <br />should also provide that <br /> <br />in case the treatment <br /> <br />proj ect is not completed by New Braunfels, New Braunfels would <br /> <br />reimburse San Marcos for its costs for the project. <br /> <br />TREATMENT FACILITIES <br /> <br />New Braunfels will design and be responsible for constructing the <br /> <br />surface water treatment facilities necessary to treat projected <br /> <br />demands at quality levels in compliance with all state and federal <br /> <br />guidelines. <br /> <br />Initially, <br /> <br />it <br /> <br />is <br /> <br />anticipated <br /> <br />New <br /> <br />Braunfels <br /> <br />will <br /> <br />construct facilities sufficient to treat approximately 6,000 acre <br /> <br />feet per year to maintain a base load delivery of <br /> <br />6 million <br /> <br />gallons/day for its own system. <br /> <br />As a part of this construction, <br /> <br />New Braunfels would design facilities in a manner that would allow <br /> <br />the plant to be expanded to treat <br /> <br />million gallons/day for <br /> <br />San Marcos' use in a cost effective manner. <br />
