<br />9.11 <br /> <br />In performing this Agreement, <br /> <br />ARCHITECT, <br /> <br />its contractors, <br /> <br />subcontractors, successors and assigns, shall comply with all local, <br />state and federal laws. <br /> <br />Alft"ICLB 10 <br /> <br />SUCCESSORS AJID ASSIGRS <br /> <br />10.1 <br /> <br />The CITY and the ARCHITECT, respectively, bind themselves, <br /> <br />their partners, successors, assigns and legal representatives to the <br /> <br />other party to this Agreement and to the partners, successors, assigns <br /> <br />and legal representatives of such other party with respect to all <br /> <br />covenants of this Agreement. <br /> <br />Neither the CITY nor the ARCHITECT shall <br /> <br />assign, sublet or transfer any interest in this Agreement without the <br /> <br />written consent of the other. <br /> <br />AR~ICLE 11 <br /> <br />J$.x::rKl!l'l.. OF AGØt$ÞC.ÞCIIT <br /> <br />11.1 <br /> <br />This Agreement represents the entire and integrated agreement <br /> <br />between <br /> <br />the <br /> <br />CITY <br /> <br />and <br /> <br />the <br /> <br />ARCHITECT <br /> <br />and <br /> <br />supersedes <br /> <br />all <br /> <br />prior <br /> <br />negotiations, representations or agreements, either written or oral. <br /> <br />This Agreement may be amended only by written instrument signed by both <br /> <br />CITY and ARCHITECT. <br /> <br />AR'l'ICLE 12 <br /> <br />O'.rJUSK D1J".rIBS AS Sft FORm :IB CORSftUC".rIOB COIr.rRAC".r DOCOIIEIftS <br /> <br />12.1 <br /> <br />ARCHITECT shall have such other duties and responsibilities <br /> <br />and limitations of authority as agreed to by ARCHITECT in writing and <br /> <br />as are set forth in the construction contract documents which are made <br /> <br />a part hereof and incorporated herein by reference as if copied herein <br /> <br />verbatim. <br /> <br />However, in the event of conflict, dispute, or discrepancy <br /> <br />between the provisions of this Agreement and the construction contract <br /> <br />documents, <br /> <br />the more restrictive <br /> <br />and/or burdensome provisions <br /> <br />shall <br /> <br />govern and control. <br /> <br />AR-.rICLE 13 <br /> <br />BASIS OF COIIPBII~IOR <br /> <br />The CITY shall compensate the ARCHITECT for the Scope of Services <br /> <br />provided, in accordance with Article 5, Payments to the ARCHITECT, and <br />the other terms and conditions of this Agreement, as follows: <br /> <br />The total fee paid to ARCHITECT for basic services shall not <br /> <br />exceed $239.641.00 <br /> <br />-19- <br />
