<br />-2- <br /> <br />maintained <br /> <br />by <br /> <br />PHS <br /> <br />or <br /> <br />its subcontractors and related to <br /> <br />the subject <br /> <br />matter of <br /> <br />this contract. <br /> <br />Any failure by PHS <br /> <br />to provide such <br /> <br />records <br /> <br />as <br /> <br />requested by City in a timely manner may be deemed a breach of this <br /> <br />contract <br /> <br />by <br /> <br />PHS. <br /> <br />Notwithstanding the foregoing requirements of this <br /> <br />Section, the City acknowledges the need for <br /> <br />confidentiality of <br /> <br />client <br /> <br />records <br /> <br />and <br /> <br />agrees <br /> <br />that <br /> <br />information <br /> <br />which <br /> <br />personally <br /> <br />iden ti ties <br /> <br />individual clients <br /> <br />will not be sought or required. <br /> <br />SECTION 7. <br /> <br />Sub-contracts. <br /> <br />No <br /> <br />part of <br /> <br />this <br /> <br />contract <br /> <br />may <br /> <br />be <br /> <br />subcontracted to any other person, corporation, entity, organization or <br /> <br />association <br /> <br />without <br /> <br />the <br /> <br />prior <br /> <br />written <br /> <br />consent <br /> <br />of the City to such <br /> <br />sub-contractor <br /> <br />and <br /> <br />to <br /> <br />the <br /> <br />terms <br /> <br />and <br /> <br />conditions of <br /> <br />any <br /> <br />such <br /> <br />sub-contract. <br /> <br />SECTION <br /> <br />8. <br /> <br />Political Activity. <br /> <br />No portion of the funds received <br /> <br />by PHS under this contract shall be used, directly or <br /> <br />indirectly, <br /> <br />for <br /> <br />any <br /> <br />political <br /> <br />activity including any activity to further the election <br /> <br />or defeat of any candidate for public office or any activity undertaken <br /> <br />to influence <br /> <br />the <br /> <br />passage, <br /> <br />defeat or <br /> <br />final <br /> <br />content of <br /> <br />legislation. <br /> <br />SECTION <br /> <br />9. <br /> <br />Compliance With Laws. <br /> <br />PHS agrees to comply with all <br /> <br />applicable laws, ordinances, codes and regulations of the local, <br /> <br />state <br /> <br />and <br /> <br />federal <br /> <br />governments <br /> <br />including but <br /> <br />not <br /> <br />liIl1ited to <br /> <br />those <br /> <br />laws, <br /> <br />ordinances, <br /> <br />codes <br /> <br />and <br /> <br />regulations <br /> <br />pertaining to <br /> <br />equal <br /> <br />employment <br /> <br />opportunity <br /> <br />and <br /> <br />those <br /> <br />pertaining <br /> <br />to <br /> <br />discrimination <br /> <br />against <br /> <br />participants. <br /> <br />With <br /> <br />respect <br /> <br />to <br /> <br />subdivision <br /> <br />37 <br /> <br />of <br /> <br />Article <br /> <br />1175, <br /> <br />V.A.T.S., which provides that a <br /> <br />contract <br /> <br />for <br /> <br />human <br /> <br />services to <br /> <br />the <br /> <br />indigent entered into between a City and a social services organization <br /> <br />may <br /> <br />not <br /> <br />provide <br /> <br />for <br /> <br />more <br /> <br />than <br /> <br />50% <br /> <br />of <br /> <br />the <br /> <br />annual <br /> <br />budget 0 f the <br /> <br />organization to be derived from City funds, PHS <br /> <br />declares <br /> <br />that at <br /> <br />the <br /> <br />time of the execution of this agreement, funds to be provided hereunder <br /> <br />do <br /> <br />not exceed 50% of the annual budget of PHS. <br /> <br />In the event that such <br /> <br />funds do exceed 50% of the annual <br /> <br />budget of <br /> <br />PHS at <br /> <br />any <br /> <br />time <br /> <br />during <br /> <br />which this contract is in effect, PHS agrees to notify City immediately <br /> <br />so <br /> <br />that appropriate monetary adjustments to this contract can be made <br /> <br />to assure compliance with <br /> <br />subdivision <br /> <br />37 of <br /> <br />Article <br /> <br />1175, <br /> <br />V.A.T.S. <br /> <br />SECTION 10. <br /> <br />Breach Of Contract. <br /> <br />A. <br /> <br />If the City determines that the activities as described in the <br />human services funding application attached hereto are not <br />being carried out as approved by the City or that PHS is <br />in breach of any of the terms of this agreement, the City <br />
