Suite 150 Orlando, Florida 32803 To Fred Saffer: Please consider this letter the agreement of the City of San Marcos to engage Saffer Utility Consultants, Inc. to perform services to assist the City of San Marcos and San Marcos Electric Utility with respect to the appeal of the PUC final order in PUC Docket 8032, the pending LCRA rate filing in PUC Docket 8400, and with respect to contract negotiations and litigation regarding the Purchasé Agreements 138 kV billing benefit, in accordance with the terms and conditions set forth herein. With regard to the appeal of the final order in PUC Docket 8032, Saffer Utility Consultants, Inc., agrees to provide those specific services only as requested by and through the attorney representing the City in the proceeding. The fees for such services will not exceed $10,000 without prior written authorization by the City of San Marcos. With regard to PUC Docket 8400, Saffer Utility Consultants, Inc. agrees to provide the following services only at the request of the attorney representing the City. The fees for such services will not exceed $165,000 without prior written authorization by the City of San Marcos: 1. Review the filing by LCRA and make a preliminary determination of the issues; 2. Prepare Requests for Information (nRFIn) to be served upon LCRA and other parties by the attorney representing the City in this proceeding; 3. Meet with the City's attorney, other Staff as requested; consultants and the City 4.
