<br />entered, each party shall advise the Project Manager that it <br />has funds available to pay its pro rata share of said <br />contract. <br /> <br />(b) The Project Manager will select the registered <br />professional engineers to perform the design and inspection <br />for the construction projects, which are a portion of the <br />Regional Facilities, listed on Exhibit liE" hereto. Any <br />other Regional Facili ties construction contracts to be <br />entered are to be designed by registered professional <br />engineers of the City's selection. The final plans of each <br />construction project must be approved by both the City and <br />the District. The Project Manager will instruct the engi- <br />neers to prepare construction contracts for the Proj ect <br />which must be approved by the City and the District. The <br />City shall be the owner of the contracts. The solicitation <br />of bids for the construction of the Regional Facilities <br />shall be advertised in the manner provided by general law <br />for municipalities and municipal utility districts and in <br />full compliance wi th the rules and regulations of the <br />Commission. The City shall in a timely manner award the <br />contracts with the approval of the District, which shall not <br />be unreasonably wi thheld. <br /> <br />(c) The Project Manager will estimate the average pay <br />estimate of each construction contract, add 15%, calculate <br />each party's pro rata share thereof, and so notify them. <br />The Project Manager will require that such amount be de- <br />posited with him on or before the work commencement date <br />specified in the construction contract. Any overage will be <br />rolled over, and the next pay estimate shall be reduced <br />accordingly. It is intended in this manner to provide that <br />funds will be available in advance of presentation of pay <br />estimates to facilitate payments to contractors. <br /> <br />(d) Contractors will be instructed to present pay <br />estimates to the Project Manager who will calculate the two <br />parties' pro rata shares of each construction project anà <br />deliver invoices to the City and the District. Each party <br />must pay its pro rata share of each construction project <br />according to each party's pro rata share of capacity in such <br />construction proj ect. <br /> <br />(e) The City and the District agree to share the cost <br />of a resident inspector for each construction project who <br />may not be one of the engineers engaged to design that <br />portion of the Regional Facilities.
