<br />long as District bonds remain outstanding. If the District <br />is not created within eighteen (18) months of the effective <br />date hereof this Agreement shall be of no force and effect <br />unless all parties agree to an extension hereof. <br /> <br />LRL agrees to use its best efforts to secure the <br />adoption by the permanent Board of Directors of this Agree- <br />ment prior to the issuance of District bonds. In the event <br />the permanent Board of Directors fails to timely ratify, <br />adopt and approve this Agreement, the City's consent to the <br />creation of Lowman Ranch Municipal Utility District shall be <br />null and void and this Agreement shall be of no force and <br />effect. <br /> <br />ARTICLE TEN <br /> <br />JOINT CONTRACTING <br /> <br />Except as otherwise provided in Sections 3.01, 3.12, <br />4.02, and 4.03 of this Agreement, the District shall be and <br />is hereby authorized to contract wi th any individual, <br />entity, governmental authority, or political subdivision for <br />the acquisition, operation, and maintenance of water, <br />wastewater, or drainage and storm sewer systems and facil- <br />i ties which are wi thin the Di strict I s functions, powers, <br />authority, rights, and duties for which it is created within <br />the terms of this Agreement. <br /> <br />ARTICLE ELEVEN <br /> <br />SEVERABILITY AND ENFORCEABILITY <br /> <br />Section 11.01. Severabi:ity. The provisions of this <br />Agreement are severable and, in the event any word, phrase, <br />clause, sentence, paragraph, section or other provision of <br />this Agreement, or the application thereof to any person or <br />circumstance, shall ever be held or determined to be inval- <br />id, illegal or unenforceable for any reason, the remainder <br />of this Agreement shall remain in full force and effect and <br />the application thereof to any other person or circumstance <br />shall not be affected thereby. The invalid, illegal or <br />unenforceable provision shall be rewritten to accomplish the <br />parties' original intent, insofar as possible. <br /> <br />Section 11.02. Enforceability. In the event that the <br />Commission or any court of competent jurisdiction determines <br />that any provision of this Agreement is beyond the scope of <br /> <br />-16- <br />
