<br />ARTICLE III <br />TERM <br /> <br />SECTION 3.1. <br /> <br />EFFECTIVE DATE AND INITIAL TERM. This Service Contract <br /> <br />shall become effective on the Contract Date, and shall continue in effect for 10 years following <br />the Commencement Date (the period from the Contract Date to the tenth anniversary of the <br />Commencement Date constituting the "Initial Term") or, if renewed as provided in Section 3.2, <br />until the last day of the renewal term (the "Renewal Term"; the Initial Term and any Renewal <br />Term being referred to herein as the "Term"), unless earlier terminated pursuant to the <br />termination provisions of Article XI hereof, in which event the Term shall be deemed to have <br />ended as of the date of such termination. All rights, obligations and liabilities of the parties <br />hereto shall commence on the Contract Date, subject to the terms and conditions hereof. The <br />City shall have no obligation to make Service Fee payments until the Commencement Date. At <br />the end of the Term of this Service Contract, all other obligations of the parties hereunder shall <br />terminate, except as provided in Sections 11.6. <br />SECTION 3.2. RENEWAL OPTION. This Service Contract may be renewed <br />and extended for up to two additional five-year renewal terms by the mutual agreement of the <br />parties. The Authority shall give the City written notice of the approaching expiration of the <br />Initial Term or any Renewal Term no later than 270 days prior to such expiration. In such <br />notice the Authority will state whether it desires to renew the Service Contract. The City, not <br />later than 180 days prior to the expiration of the Initial Term and any Renewal Term, shall give <br />the Authority written notice stating whether or not the City desires to renew the Service <br />Contract. If the parties agree to renew the Service Contract, the renewal shall be on the same <br />terms and conditions as are in force under this Service Contract as of the date of renewal. If <br />either party does not wish to renew this Service Contract, the Service Contract will terminate, <br />and the City will determine whether to assume the operation and maintenance of the Water <br />Treatment Facilities, or contract for such services using a competitive process in accordance <br />with Applicable Law. <br /> <br />24 <br />
