<br />ARTICLE IV <br />TRANSITION PERIOD <br /> <br />SECTION 4.1. AUTHORITY TRANSITION PERIOD RESPONSIBILITIES. <br />(A) Obligation to Proceed. The Authority shall use good faith efforts to satisfy the following <br />Authority responsibilities as soon as practicable after the Contract Date, each of which shall be <br />a condition precedent to the occurrence of the Commencement Date. <br />(1) Transition. The Authority shall carry out and complete its transition <br />obligations to ensure the orderly transfer of management responsibility for the Wells <br />from the City to the Authority in accordance with Article VI as it specifically pertains to <br />transition obligations to be performed by the Authority prior to the Commencement <br />Date, and shall provide management, technical, administrative, engineering, labor <br />relations and other personnel necessary in connection therewith. The Authority shall <br />demonstrate such compliance to the satisfaction of the City. <br />(2) City Emplovee and Staffmg. The Authority shall carry out and complete <br />its obligations set forth in Section 6.7, with respect to offering employment to the City <br />employee identified in Appendix 5, and shall demonstrate such compliance to the <br />satisfaction of the City. In addition, the Authority shall hire any additional personnel <br />necessary to fill all positions included in its Staffmg Plan, if any. <br />(3) Govemmental Approvals. The Authority shall submit complete <br />applications and take all other steps which are necessary under Applicable Law to <br />obtain all Govemmental Approvals required to be obtained by the Authority before the <br />Commencement Date for the performance of the Contract Services, or certify to the City <br />that no such Govemmental Approvals are required. <br />(4) Letter of Credit. The Authority shall obtain and deliver to the City the <br />Letter of Credit, or other security agreeable to the City in accordance with Section 13.1. <br />The Letter of Credit shall be substantially in the form set forth in the Transaction <br />Forms. <br /> <br />(5) Safety and Security Plan. The Authority shall submit, subject to City <br />review, a Safety and Security Plan. <br />(6) Operation and Maintenance Manual. The Authority shall reVIew the <br />operation and maintenance procedures contained in the City's existing Operation and <br />Maintenance Manual for the Wells, and identify areas which need to be modified or <br />added in light of the contract provisions to be performed hereunder, including its Major <br />Repair and Replacement Schedule set forth in Appendix 3. <br />(7) Contact Information. The Authority shall submit to the City the contact <br />information specified in subsection 14.3(A). <br /> <br />25 <br />
