<br />City of San Marcos/Guadalupe-Blanco River Authority <br />Water Treatment Facilities <br /> <br />Service Contract <br />Article VI - Management and Operation <br /> <br />with copies of operations and maintenance data and other information kept by the Authority in <br />its performance of the Contract Services. <br />(B) Availability of Facilities Records to City. The Authority shall make <br />available to the City operations, maintenance, performance, complaint tracking, Finished <br />Water, Delivered Water, process control and similar records and data related to the Facilities. <br />The Authority and the City agree to cooperate to identify methods to provide the City with real <br />time, continuous computer access to such records and data through their respective <br />information systems. <br />(C) Record Documents and Mapping. The Authority shall maintain at the <br />Plant and make available to the City upon request for review and copying all designs, drawings, <br />blueprints, plans, specifications and "as-built" or record drawings and documents relating to <br />any Capital Modifications performed by the Authority. The Authority shall: (1) keep current all <br />such Facilities records to show any changes to the Facilities (including valves, pipes, pumps, <br />meters and other assets) made by the Authority in the performance of the Contract Services; <br />and (2) provide advice to the City, based on such records, in establishing and maintaining any <br />City geographic mapping and information systems. <br />(D) Financial Records. The Authority shall prepare and maintain accurate, <br />complete and current financial books, records and accounts, in accordance with generally <br />accepted accounting principles, with respect to all aspects of the Facilities and Contract <br />Services, including direct and indirect personnel expenses, Subcontractor costs, the costs of <br />material, equipment and supplies, maintenance, repair and replacement items, operating <br />expenses and overhead. These fmancial records shall be in form and substance sufficient to <br />support all fmancial reporting, including Cost Substantiation, required hereunder. Appropriate <br />forms of these fmancial records may include paper copies as well as electronic copies or <br />images. In the event the Authority fails to prepare or maintain the books, records or accounts <br />as required under this Section, the Authority shall not be entitled to the requested payments or <br />adjustments for which Cost Substantiation was required hereunder to the extent such failure <br />prevented Cost Substantiation. The Authority shall keep in a form consistent with other <br />Authority records of a similar nature the relevant portions of the books, records and accounts <br />maintained with respect to each Contract Year until at least the seventh anniversary of the last <br />day of each such Contract Year (or such longer period as may be appropriate to account for <br />any dispute then pending). For those circumstances that require Cost Substantiation under <br />Section 14.7, the Authority shall make such books and records available to the City for <br />inspection, audit and copying upon reasonable notice during business hours to the extent <br />necessary to allow the City to determine to its reasonable satisfaction the accuracy, <br />completeness, currency and propriety of any charge or request for payment hereunder.
