<br />ARTICLE VIII <br />MAINTENANCE, REPAIR AND REPLACEMENT <br /> <br />SECTION 8.1. MAINTENANCE. REPAIR AND REPLACEMENT GENERALLY. <br />(A) Ordinary Maintenance. Except for the Well Supply Equipment, the Well System SCADA, <br />and the City's SCADA system used to monitor and control the System which will be maintained <br />by the City, the Authority shall perform all normal and ordinary maintenance of the machinery, <br />equipment, structures, improvements and all other property constituting the Facilities, shall <br />keep such Facilities in good working order, condition and repair, in a neat and orderly <br />condition and in accordance with the Contract Standards, and shall maintain the aesthetic <br />quality of the Facilities as of the Commencement Date. The Authority shall provide or make <br />provisions for all labor, materials, supplies, equipment, spare parts, Consumables and services <br />which are necessary for the normal and ordinary maintenance of the Facilities and shall <br />conduct predictive, preventive and corrective maintenance of the Facilities as required by the <br />Contract Standards. In accordance with Good Industry Practice, the Authority shall keep <br />monthly and annual maintenance records describing maintenance activities performed, shall <br />develop and comply with a predictive maintenance plan, and shall update the Operations and <br />Maintenance Manual as required to reflect changes in parameters, newly installed equipment <br />or replacement equipment and modified regulatory requirements and operating practices. The <br />Parties acknowledge and agree that the Authority is not responsible for performing <br />maintenance to the City's storage tanks and related cathodic protection equipment, specifically <br />including activities such as coatings protection, metals preparation and painting. <br />(B) Repair and Maintenance of Site Grounds. The Authority, in accordance <br />with the Contract Standards, shall keep the grounds of the Sites in a neat and orderly <br />condition (including the cleanup of litter and debris on a regular basis). The Authority shall <br />also maintain and repair all fencing, lighting, and signage. The cost for repairs to such fencing, <br />lighting, and signage that result from an Uncontrollable Circumstance, or are insured by the <br />City's property insurance (other than those resulting from the negligent or intentional acts or <br />omissions of the Authority or its officers, agents, employees or Subcontractors) shall be <br />reimbursed by the City to the Authority, subject to the provisions of Section 12.2(E). In <br />addition, the Authority shall provide lawn mowing, and brush cutting services for the Sites, <br />and provide maintenance for all parking lots, roadways, walk-ways, and building entrances <br />and exits at the Sites in accordance with Applicable Law and Good Industry Practice. <br />(C) Maior Maintenance. Repair and Replacements. Except for the Well <br />Supply Equipment and Well System SCADA, the Authority shall perform all major <br />maintenance, repairs and replacement of the machinery, equipment, structures, improvements <br />and all other property constituting the Facilities during the Term of this Service Contract <br /> <br />56 <br />
