<br /> 9.10 All services provided pursuant to this Agreement are for <br /> the exclusive use and benefit of Owner. <br /> 9.11 In performing this Agreement, Engineer, its contractors, <br /> subcontractors, successors and assigns, shall comply with all <br /> local, state and federal laws. <br /> ARTICLE 10 <br /> SUCCESSORS AND ASSIGNS <br /> 10.1 The Owner and the Engineer, respectively, bind <br /> themselves, their partners, successors, assigns and legal <br /> representatives to the other party to this Agreement and to the <br /> partners, successors, assigns and legal representatives of such <br /> other party with respect to all covenants of this Agreement. <br /> Neither the Owner nor the Engineer shall assign, sublet or <br /> transfer any interest in this Agreement without the written <br /> consent of the other. <br /> ARTICLE 11 <br /> EXTENT OF AGREEMENT <br /> 11.1 This Agreement represents the entire and integrated <br /> agreement between the Owner and the Engineer and supersedes all <br /> prior negotiations, representations or agreements, either written <br /> or oral. This Agreement may be amended only by written instrument <br /> signed by both Owner and Engineer. <br /> ARTICLE 12 <br /> OTHER CONDITIONS OR SERVICES <br /> 12.1 EASEMENTS FOR INTERCEPTOR <br /> A. If authorized by the Owner in writing, the Engineer will <br /> provide the following services: <br /> 1. Establish limits of permanent utility easement. <br /> Review Ingress and Egress requirements and construction easements <br /> that will be necessary for adequate access to work. <br /> 2. Perform the necessary surveying and related office <br /> work required to prepare easement plats and field notes and one <br /> large scale (I" = 100 ') overall property map for the interceptor. <br /> Attend a maximum of two meetings with the Owner and other <br /> interested parties to discuss the easements. <br /> -26- <br />
