<br /> City and UAM, Inc. <br /> Agreement <br /> Page 3 <br /> omission in said digital products, maps or other documents as prepared <br /> by the PROFESSIONAL. <br /> The PROFESSIONAL further agrees to perform any redesigns required <br /> as a result of the PROFESSIONAL's development of digital products, <br /> maps, or documents which are found to be in error or contain defects or <br /> omissions. <br /> SECTION VIII <br /> SCHEDULE <br /> The PROFESSIONAL agrees that he will commence work as provided <br /> herein at the earliest practical time from the date of written <br /> authorization to proceed and will complete the preparation and delivery <br /> of the work as stated in Exhibit A. Aerial photography shall be flown <br /> by February 28, 1986; this provision is for clarification only, and is <br /> not intended to be an exclusion of any other requirements contained in <br /> OWNER's Request For Proposal contained in Exhibit A regarding <br /> photography or any other matter. <br /> The PROFESSIONAL further agrees to prepare and furnish a weekly <br /> written report in narration and/or tabular form which will indicate the <br /> work which has been done during a calendar week. These reports shall <br /> be submitted to the OWNER on Monday of each week for the preceding <br /> week. The reports shall be numbered in sequence, shall give the date <br /> of the period covered and shall indicate the number of calendar days <br /> used and remaining to date. Furthermore, the PROFESSIONAL shall be <br /> available on the first and third Monday of each month for a conference <br /> to discuss progress. <br /> SECTION IX <br /> VENUE <br /> Venue and jurisdiction of any suit, right or cause of action <br /> arising under or in connection with this contract shall lie exclusively <br /> in Hays County, Texas. <br /> SECTION X <br /> INSURANCE REQUIREMENTS <br /> The PROFESSIONAL agrees to procure and maintain at its expense <br /> until final payment by OWNER for services covered by this Agreement or <br /> as otherwise provided herein, insurance in the kinds and amounts <br /> hereinafter provided with insurance companies authorized to do business <br /> in the State of Texas, covering all operations under this Agreement, <br /> whether performed by it or its agents, employees, contractors or <br /> subcontractors. Before commencing the Work, the PROFESSIONAL shall <br /> furnish to OvlNER certificates in form satisfactory to OWNER, showing <br /> that PROFESSIONAL has complied with this Section X. All certificates <br /> shall provide that the policy or policies shall not be materially <br /> changed or cancelled until at least fifteen (15) days' written notice <br /> shall have been given to OWNER. Kind s and amounts of insurance <br /> required are as follows: <br /> Workmen's Compensation Insurance: Workmen's Compensation <br /> Insurance for its employees in accordance with tlle provisions of the <br /> Workmen's Compensation Act of the State of Texas. <br /> Insurance carriers insuring the PROFESSIONAL, its agents, <br /> employees, contractors and subcontractors, in accordance with this <br /> Agreement which are not rated by the most recent edition of Best's Key <br /> Rating Guide, Property-Casualty, published by A.M. Best Company, or <br /> insurance carriers having a rating lower than B+XV as shown in the most <br /> recent edition of said book, will not be approved by OWNER unless a <br /> guaranty bond(s) acceptable to OWNER from a carrier(s) rated B+XV or <br /> higher guaranteeing payment of any and all claims against the <br /> PROFESSIONAL, its agents, employees, contractors and subcontractors, is <br /> furnished to OWNER. <br />
