<br /> City and UAM, Inc. <br /> AGreement <br /> Page 4 <br /> Comprehensive General Liability Insurance: Comprehensive <br /> General Liability Insurance with minimum limits of liability of not <br /> less than $500,000 each occurrence and $500,000 aggregate for bodily <br /> injury, personal injury, sickness, disease or death. <br /> Broad Form Property Damage Insurance: Broad Form Property <br /> Damage Insurance and removal of XCU exclusions whe re applicable, as <br /> determined by OWNER with minimum limits of liability of not less than <br /> $500,000 per occurrence and $500,000 aggregate for injury to or <br /> destruction of tangible personal property of others, including loss of <br /> use thereof. <br /> The PROFESSIONAL shall maintain Comprehensive General <br /> Liability Insurance and Broad Form Property Damage Insurance coverages <br /> for as long as said or similar types coverages are reasonably available <br /> and in such forms as to provide coverage for lawful claims arising <br /> before or after completion of this project and as a result of this <br /> project. <br /> Vehicle Insurance: Vehicle insurance with minimum limits of <br /> liability of not less than $500,000 each occurrence for bodily injury <br /> and property damage combined to afford protection from claims arising <br /> out of the maintenance, operation, or use of any owned, non-owned or <br /> hired vehicles. <br /> All insurance required under this Section shall be written with <br /> the City of San Marcos, Texas, as additional named insured, except the <br /> PROFESSIONAL Liability Insurance coverage and Workmen's Compensation <br /> coverage. <br /> The state limits of insurance required by this Section are MINIMUM <br /> ONLY and it shall be the PROFESSIONAL's responsibility to determine <br /> what limits are adequate. These minimum limits may be basic policy <br /> limits or any combination of basic limits and umbrella limits. The <br /> OWNER's acceptance of Certificates Of Insurance that in any respect do <br /> not comply with the requirements of this Agreement does not release the <br /> PROFESSIONAL from compliance herewith. <br /> SECTION XI <br /> INDEMNITY AND HOLD HARMLESS <br /> The PROFESSIONAL hereby agrees to protect, defend, indemnify and <br /> hold the OWNER and its employees, agents, officers and servants free <br /> and harmless from any and all losses, claims, liens, demands and causes <br /> of action of every kind and character including, but not limited to, <br /> the amount of judgments, penalties, interests, court costs, legal fees, <br /> and all oth er expenses incurred by OWNER arising in favor of any party, <br /> including claims, liens, debts, personal injuries, including employees <br /> of OWNER, death or damages to property (including property OWNER) and <br /> without limitation by enumeration, all other claims or demands of every <br /> character occurring, resulting, or arising from any negligent or <br /> intentional wrongful act, error or ommission of the PROFESSIONAL or its <br /> agents or employees or contractors or subcontractors. The indemnity <br /> required hereunder shall not be limited by reason of the specification <br /> of any particular insurance coverage in this Agreement. The <br /> PROFESSIONAL further agrees to obtain from its contractors, <br /> subcontractors and consultants the same indemnification in writing of <br /> OWNER as stated hereinabove. <br /> SECTION XII <br /> EQUAL OPPORTUNITY IN EMPLOYMENT <br /> The PROFESSIONAL agrees, that during the performance of the <br /> services covered by the hereinbefore-mentioned Agreement, it shall <br /> comply as follows: <br />
