<br />4. This Contract supersedes all previous agreements between Engineers and <br /> the City with respect to the subject matter hereof and contains the <br /> entire understanding and agreement between the parties with respect to <br /> the subject matter hereof and cannot be amended, modified or supple- <br /> mented in any respect except by a subsequent written agreement entered <br /> into by both parties. <br />5. In the event of a dispute related to the terms, conditions, or <br /> enforcement of this Contract, the laws of the state of Texas shall <br /> apply and venue shall be exclusively vested in Hays County, Texas. <br />6. In connection with any litigation, including appellate proceedings, <br /> arising out of this Contract, the prevailing party shall be entitled <br /> to recover reasonable attorneys' fees and costs. <br />7.
