<br /> -7- <br /> 10.1 Pol icy It is the pol icy of the Department of ïranspor ta t i on <br /> (hereinafter referred to as "DOT") that minority business enterprises <br /> (hereinafter referred to as "MBE") as defined in 49 CFR Part 23, shall <br /> have the maximum opportunity to participate in the performance of <br /> contracts financed in whole or in part with Federal funds under this <br /> agreement. <br /> 10.2 MBE Obl iQation The Con tractor agrees to ensure that minority <br /> business enterprises as defined in 49 CFR Part 23 have the maximum <br /> opportunity to par tic i pate in the per-formance of contracts and <br /> sub-contracts financed in whole or in part with Federal funds provided <br /> under this agreement. In this regard, all contractors shall take all <br /> necessary and reasonable steps in accordance with 49 CFR Part 23 to <br /> ensure that minority business enterprises have the maximum opportunity <br /> to compete for and perform contracts. Contractor shall not <br /> discriminate on the basis of race, color, national origin, sex, age or <br /> physical hand i cap in the awar d and perfor-mance of DOT-assisted <br /> contracts. <br /> ARTICLE 11 <br /> TE~1INATION OF CONTRACT <br /> 11.1 In connection with all the work outl ined or- contemplated above, <br /> it is agr-eed that the City or the Contr-actor may cancel or- ter-m i na te <br /> this Contract upon thirty (30) days wr-itten notice to the other-, <br /> with the pr-ovision and under-standing that immediately upon receipt of <br /> notice of such cancellation fr-om either- par-ty to the other-, all <br /> work and labor being performed under this contract shall immediate1)' <br /> cease pending final cancellation at the end of such thirty (30) <br /> da;¡ period, and further- pro<lide that the Contractor shall be <br /> compensated in accordance with the terms of this con t I' ac t for all <br /> '!Jor k accomp 1 ¡shed prior to the receipt of notice of such <br /> termination. In the event of such cancellation, Contractor shall <br /> immediately provide copies of all work accompl ished prior to date of <br /> cancellation. <br /> ARTICLE 12 <br /> !.)ENUE <br /> 12.1 Venue and jurisdiction of any suits, right or cause of action <br /> arising under or in connection with this contract shall be exclusively <br /> in Hays County, Texas. <br /> ARTICLE 13 <br /> CONïRACT EXECUTIrni <br /> 13.1 IN WITNESS WHEREOF, the City of San Marcos, Texas, has caused <br /> these presents to be executed by its ~1ayor and attested by its <br /> Secretary and executed by Charles Will is & Associates, I nc., thr-ough <br /> its President. <br />
