-7- 10.1 Pol icy It is the pol icy of the Department of ïranspor ta t i on (hereinafter referred to as "DOT") that minority business enterprises (hereinafter referred to as "MBE") as defined in 49 CFR Part 23, shall have the maximum opportunity to participate in the performance of contracts financed in whole or in part with Federal funds under this agreement. 10.2 MBE Obl iQation The Con tractor agrees to ensure that minority business enterprises as defined in 49 CFR Part 23 have the maximum opportunity to par tic i pate in the per-formance of contracts and sub-contracts financed in whole or in part with Federal funds provided under this agreement. In this regard, all contractors shall take all necessary and reasonable steps in accordance with 49 CFR Part 23 to ensure that minority business enterprises have the maximum opportunity to compete for and perform contracts. Contractor shall not discriminate on the basis of race, color, national origin, sex, age or physical hand i cap in the awar d and perfor-mance of DOT-assisted contracts. ARTICLE 11 TE~1INATION OF CONTRACT 11.1 In connection with all the work outl ined or- contemplated above, it is agr-eed that the City or the Contr-actor may cancel or- ter-m i na te this Contract upon thirty (30) days wr-itten notice to the other-, with the pr-ovision and under-standing that immediately upon receipt of notice of such cancellation fr-om either- par-ty to the other-, all work and labor being performed under this contract shall immediate1)' cease pending final cancellation at the end of such thirty (30) da;¡ period, and further- pro<lide that the Contractor shall be compensated in accordance with the terms of this con t I' ac t for all '!Jor k accomp 1 ¡shed prior to the receipt of notice of such termination. In the event of such cancellation, Contractor shall immediately provide copies of all work accompl ished prior to date of cancellation. ARTICLE 12 !.)ENUE 12.1 Venue and jurisdiction of any suits, right or cause of action arising under or in connection with this contract shall be exclusively in Hays County, Texas. ARTICLE 13 CONïRACT EXECUTIrni 13.1 IN WITNESS WHEREOF, the City of San Marcos, Texas, has caused these presents to be executed by its ~1ayor and attested by its Secretary and executed by Charles Will is & Associates, I nc., thr-ough its President.
