<br /> -6- <br /> 6.1 It is exp~ess1y understood and agreed by both parties hereto that <br /> City is contracting with Contractor as an Independent Contractor and <br /> that Contractor, as such, agrees to hold the Ci ty harmless and <br /> indemnify it from and against any and all claims, demands and causes of <br /> action arising out of, o~ in direct connection with the services to be <br /> performed by Contractor, his agents, employees, contractors and <br /> subcontractors, unde~ this contract. Con tractor shall not be <br /> responsible for the acts of others who are not his agents, <br /> employees, contracto~s and subcon tractors, and shall not be 1 iab1e <br /> for acts or actions beYond his control. <br /> 6.2 It is fu~the~ expressly understood and agreed that Contractor is <br /> not an employee of City and any payments or other benefits accruing to <br /> Contractor which may be similar to payments or benefits available to <br /> City employees have been determined by Ci ty to be the method of <br /> contracting which involves the least expense to the City of San Marcos <br /> consistent with City controls. Contractor shall be remunerated only as <br /> expressTy prov i ded herein and an equipment, supplies, ser\}ices, <br /> ~esearch materials or other resou~ces required in the performance of <br /> this contract shall be furnished by Contractor. <br /> ART! CLE 7 <br /> TERM OF CONTRACT <br /> 7.1 This contract shall commence upon the execution of this contract <br /> by the parties hereto, and shaTl term i na te six (6) months fo1l OlAiÍ n9 <br /> such execution of this contract unless otherwise extended or amended. <br /> ARTICLE 8 <br /> C~~TRACTOR'S USE OF CITY'S OFFICE SPACE, <br /> SERVICES AND FACILITIES <br /> 8.1 City may provide, at its discretion, City office space, ser'J ices <br /> and faciJities to Contractor, upon Contractor's written request, with <br /> the approval of the City Manager, and when the City Manager deems such <br /> office space, services, and facil ities a~e necessary for the purpose of <br /> Contracto~ completing the pe~formance requi~ed of Contractor under this <br /> cont~act. <br /> ARTICLE 9 <br /> THIS CONTRACT THE ENTIRE AGREEMENT <br /> 9.1 This contract constitutes the enti~e agreement by and between the <br /> parties for pu~poses of accompl ishing the ~esu1ts and objectives he~ein <br /> contained and any a1teration thereof, or addition, or deJetion sha1J be <br /> an addendum hereto in w~iting and executed by the pa~ties. <br /> ARTICLE 10 <br /> MINORITY BUSINESS ENTERPRISE (MBE) ASSURANCES <br />
