WITNESSETH, that whereas, the PROFESSIONALS for the provision to OWNER Nat~onal Cooperat~ve H~ghway Research Travel Est~mat~on" mOdeL which W~LJ. transportat~on plann~ng tool; ana, OWNER des~res to empLoy of ass~stance ~n updating ~ts Program "Qu~ck Response Uroan result in a cost-effect~ve WHEREAS, PROFESSIONALS possess the profess~onaL expert~se ana exper~ence to perform such comprehens~ve transportation moaeL~ng~ now, therefore, OWNER and PROFESSIONALS, ~n conS~derat~on of the mutuaL covenants set forth here~n, agree as foLLOWS: SECTION I EMPLOYMENT OF THE PROFESSIONALS The OWNER agrees to employ PROFESSIONALS and the PROFESSIONALS agree to perform the PROJECT serv~ces as statea ~n A ProposaL For Data Base DeveLopment For Traff~c Moael~ng For San Marcos, Texas, aatea JULy 25, 1986, contained ~n Exhib~t A attachea hereto and ~ncorporatea oy reference here~n for all intents and purposes, ana this Agreement. However, in the event of confL~ct, d~spute, or a~screpancy oetween the prov~sions of sa~a Exhinit ana the prov~s~ons of th~s Agreement, the more buraensome and/or restrict~ve provis~ons shall govern ana control against the PROFESSIONALS. After certa~n phases of serv~ces have oeen renaerea oy the PROFESSIONALS, the OWNER agrees to pay the PROFESSIONALS compensation as statea ~n the Sections to fOLLOW. SECTION II SERVICES OF THE PROFESSIONALS Exh~o~t A ~s a proposal suOm~tted oy the PROFESSIONALS datea JULY 25, 1986. EXhio~t A spec~fies the serv~ces to De performea. However, said Exh~o~t ~s hereoy amendea to incluae the fOLLow~ng serv~ces to be performea oy PROFESSIONALS: (1) Tra~n~ng of OWNER in the effect~ve use of the transportat~on moael~ng system. (2) Upon completion of aLL other serv~ces aeLivery of a computer-readY formattea f~le aLong w~th the transportat~on aata oase. SECTION III PAYMENTS TO 'rHE PROFESSIONALS OWNER agrees to pay the PROFESSIONALS on the oas~s of t~me expenaed at the hourly rates as set forth ~n Exh~D~t A, except that the totaL compensat~on as est~matea there~n shaLL not De exceeaea without OWNER's prior written approvaL. Payments shall oe made monthly ~n proport~on to the serv~ces performed in accoraance with th~s Agreement.
