<br />-4- <br /> <br />SECTION XII <br /> <br />EQUAL OPPORTUNITY IN EMPLOYMENT <br /> <br />The PROFESSIONALS agree, that during the performance of the <br />services covered by this Agreement, they shall comply as follows: <br /> <br />A. The PROFESSIONALS will not discriminate against any employee <br />or applicant for employment because of race, color, religion, <br />sex, age, national origin or physical handicap. The <br />PROFESSIONALS will take affirmative action to ensure that <br />such applicants are employed, and that employees are treated <br />equitably during employment, without regard to their race, <br />color, religion, sex, age, national origin, or physical <br />handicap. Such action shall include, but not be limited to <br />the following: employment, upgrading, demotion or transfer; <br />recruitment or recruitment advertising; layoff or <br />termination; rates of payor other forms of compensation; and <br />selection of training, including apprenticeship. The <br />PROFESSIONALS agree to post in conspicuous places, available <br />to the employees and applicants for employment, notices <br />setting forth the provisions of this non-discrimination <br />clause. <br /> <br />B. The PROFESSIONALS will include the provisions of the sentence <br />immediately preceding paragraph A and the provisions of <br />paragraphs A and B in every subcontract or purchase order <br />unless excepted by rules, regulations or orders of the <br />Secretary of Labor issued pursuant to Section 204 or <br />Executive Order 11246 of September 24, 1965, so that such <br />provisions will be binding upon each subcontractor or <br />vendor. The PROFESSIONALS will take such action with respect <br />to any subcontractor or purchase order as the OWNER may <br />direct as a means of enforcing such provisions, including <br />sanctions for noncompliance. <br /> <br />SECTION XIII <br /> <br />CER'rIFICATE OF THE PROFESSIONALS <br /> <br />The individuals signing this Agreement are duly authorized <br />representatives of the parties to this Agreement and, as such, are <br />empowered to enter into this Agreement on behalf the parties hereto and <br />PROFESSIONALS further certify that neither they nor any other members <br />of the PROFESSIONALS' firms which they represent have: <br /> <br />A. Employed or retained for a commission, percentage, brokerage, <br />contingency fee or other consideration, any firm or person <br />(other than a bona fide employee(s) working solely for the <br />PROFESSIONALS) to solicit or secure the work provided by this <br />Agreement. <br /> <br />B. <br /> <br />Agreed, as <br />Agreement, <br />person in <br />performed <br /> <br />an express or implied condition for obtaining this <br />to employ or retain the services of any firm or <br />connection with carrying out the work to be <br />under this Agreement. <br /> <br />C.
