<br />
<br />INSURANCE REQUIREMENTS
<br />
<br />The PROFESSIONALS agree to procure and maintaln at thelr expense
<br />untlL final payment bY OWNER for services coverea by thlS .I\greement or
<br />as otherWlse provldea herein, insurance ln the klnas ana amounts
<br />herelnafter provlded, covering all operations under thls Agreement,
<br />whether performed bY them or their agents, empLoyees, contractors or
<br />SUbcontractors. Before commencing the Work, the PROFESSIONALS shalL
<br />furnlsh to OWNER certlflcates in form satlsfactory to OWNER, showlng
<br />that PROFESSIONALS have compLlea with thlS Section X. AiL certificates
<br />shaLL provlde that the POllCY or pOlicies shall not oe materlally
<br />changea or cancelLed until at Least thirty (30) aays' prior wrltten
<br />notlce shaLL have been given to OWNER. Kinds and amounts of lnsurance
<br />requlrea are as fOlLOWS:

<br />Workmen's Compensatlon Insurance: Workmen's Compensation
<br />Insurance for thelr empLoyees ln accordance wlth the provlslons of the
<br />Workmen's Compensatlon Act of the State of Texas.
<br />
<br />Insurance carrlers lnsurlng the PROFESSIONALS, their agents,
<br />employees, contractors and SUbcontractors, in accordance wlth thls
<br />Agreement WhlCh are not rated by the most recent edltlon of Best's Key
<br />Ratlng GUlde, Property-Casualty, PUbLished by A.M. Best Company, or
<br />insurance carrlers havlng a ratlng Lower than B+XV as shown ln the most
<br />recent edltlon of sald book, W1Ll not be approvea by OWNER unLess a
<br />guaranty bona(s) acceptabLe to OWNER from a carrler(s) rated B+XV or
<br />hlgher guaranteelng payment of any and aLL CLaims agalnst the
<br />PROFESSIONALS, thelr agents, employees, contractors and SUbcontractors,
<br />is furnlshea to OWNER.
<br />
<br />VehlcLe Insurance: Vehlcle lnsurance wlth minlmurn Limlts of
<br />llablLity of not less than $500,000 each occurrence for boalLy inJury
<br />ana property aamage combinea to afford protection from clalms arislng
<br />out of the malntenance, operation, or use of any ownea, non-owned or
<br />hirea vehlcles.
<br />
<br />ALL lnsurance requlrea under this Section shalL be wrltten wlth
<br />the Clty of San Marcos, Texas, as addltionaL named lnsurea, except the
<br />Workmen's Compensatlon coverage.
<br />
<br />The stated llmits of lnsurance requlrea by this Sectlon are
<br />MINIMUM ONLY and it shaLl be the PROFESSIONALS' responsloiLlty to
<br />determlne what llmits are adequate. These mlnlmum Limits may be oaS1C
<br />pOLicy llmlts or any comblnation of basic llmlts ana umbreLLa llmits.
<br />The OWNER's acceptance of Certlficates Of Insurance that ln any respect
<br />dO not compLy with the requlrements of this Agreement does not release
<br />the PROFESSIONALS from compLlance herewlth.

<br />SECTION XI
<br />
<br />INDEMNITY AND HOLD HARMLESS
<br />
<br />The PROFESSIONALS hereby agree to protect, defena, lndemnlfy and
<br />hOLd the OWNER and ltS employees, agents, offlcers and servants free
<br />ana harmLess from any ana aLl Losses, cLalms, liens, demandS and causes
<br />of actlon of every klna ana character lncLualng, but not Limited to,
<br />the amount of jUdgments, penaltles, lnterests, court costs, Legal fees,
<br />and all other expenses lncurred by OWNER arlslng ln favor of any party,
<br />lnclualng the amounts of aamages or awaras from clalms, llens, debts,
<br />personaL lnJuries, (lnclualng employees of OWNER), aeath or aamages to
<br />property (incLuding property of OWNER) ana wlthout llmltatlon by
<br />enumeratlon, all other claims or demanas of every character occurring,
<br />reSULting, or arlslng from any negL1gent or intentlonaL wrongfUL act,
<br />error or omlssion of the PROFESSIONALS or their agents or empLoyees or
<br />contractors or subcontractors. The inaemnlty requlrea hereunaer shaLL
<br />not be limlted bY reason of the speclfication of any partlcular
<br />lnsurance coverage ln this Agreement. The PROFESSIONALS further agree
<br />to obtaln from their contractors, SUbcontractors and conSULtants the
<br />same lnaemniflcation in wrlting of OWNER as stated hereinaoove.
