<br />Number <br /> <br />3.02 The Board of Trustees shall consist of four (4) members <br />representing the City of San Marcos ("City Member Trustees") and <br />three (3) members representing the customers of Elim Water <br />Company, Inc. ("Elim Member Trustees"). <br /> <br />Term <br /> <br />3.03 Except for the initial Board of Trustees, the term of <br />office of a Trustee shall be for three years and until his <br />successor is appointed or elected and qualified. To the end that <br />the terms of the Trustees shall be staggered, the initial City <br />Member Trustees shall draw lots to determine their initial terms <br />which shall be one, two aad three years, respectively. Two of the <br />City Member Trustees shall have three-year initial terms. The <br />initial Elim Member Trustees shall draw lots to determine their <br />initial terms which shall be one, two and three years, <br />respectively. <br /> <br />Election of Successors <br /> <br />3.04 City Member Trustees shall be appointed by the City <br />Council of the City of San Marcos, Texas, and Elim Member Trustees <br />shall be elected by the customers of Elim Water Company, Inc. In <br />each case, Trustees to fill a vacancy arising by the expiration <br />of the term of office of a Trustee, shall be appointed by the City <br />Councilor elected by the customers of Elim Water Company, Inc. <br />prior to the regular annual meeting. Each Trustee may be <br />reappointed or re-elected for successive terms. If a Trustee is <br />unable to serve his office for a full term, this vacancy shall be <br />filled as provided in section 3.12 below. <br /> <br />Removal of Trustees <br /> <br />3.05 Anyone or more of the City Member Trustees may be <br />removed at any time by the City Council of the City of San Marcos, <br />Texas. Anyone or more of the Elim Member Trustees may be <br />removed at any time by the customers of Elim Water Company, Inc. <br />Anyone or more Trustees may be removed by the Board of Trustees, <br />provided however, that any such removal will require a vote of six <br />of the seven Trustees. Resulting vacancies shall be filled as <br />provided for in Section 3.12 of these By-Laws. <br /> <br />2. <br />
