Number 3.02 The Board of Trustees shall consist of four (4) members representing the City of San Marcos ("City Member Trustees") and three (3) members representing the customers of Elim Water Company, Inc. ("Elim Member Trustees"). Term 3.03 Except for the initial Board of Trustees, the term of office of a Trustee shall be for three years and until his successor is appointed or elected and qualified. To the end that the terms of the Trustees shall be staggered, the initial City Member Trustees shall draw lots to determine their initial terms which shall be one, two aad three years, respectively. Two of the City Member Trustees shall have three-year initial terms. The initial Elim Member Trustees shall draw lots to determine their initial terms which shall be one, two and three years, respectively. Election of Successors 3.04 City Member Trustees shall be appointed by the City Council of the City of San Marcos, Texas, and Elim Member Trustees shall be elected by the customers of Elim Water Company, Inc. In each case, Trustees to fill a vacancy arising by the expiration of the term of office of a Trustee, shall be appointed by the City Councilor elected by the customers of Elim Water Company, Inc. prior to the regular annual meeting. Each Trustee may be reappointed or re-elected for successive terms. If a Trustee is unable to serve his office for a full term, this vacancy shall be filled as provided in section 3.12 below. Removal of Trustees 3.05 Anyone or more of the City Member Trustees may be removed at any time by the City Council of the City of San Marcos, Texas. Anyone or more of the Elim Member Trustees may be removed at any time by the customers of Elim Water Company, Inc. Anyone or more Trustees may be removed by the Board of Trustees, provided however, that any such removal will require a vote of six of the seven Trustees. Resulting vacancies shall be filled as provided for in Section 3.12 of these By-Laws. 2.
