<br />Manner of Election of Elim Members <br /> <br />3.06 At such time as it is necessary to fill a vacancy <br />arising by the expiration of the term of office of an Elim Member <br />Trustee as provided in Section 3.04 herein, the Elim Member <br />Trustees shall nominate one or more candidates. The nominations <br />shall be placed on a ballot that will be mailed to all Elim <br />customers, with the next billing statements, no later than 30 days <br />before the expiration of the vacating Trustee's term. The ballot <br />shall also provide for a write-in candidate. The Board of <br />Trustees shall request that all ballots be returned within one <br />week after the date of mailing. The Elim Member Trustees shall <br />tabulate the results and declare a winner no later than two weeks <br />before the expiration of the vacating Trustee's term. <br /> <br />Regular Meetings <br /> <br />3.07 A regular meeting of the Board of Trustees shall be held <br />on the 23rd day of September in each year, beginning with the <br />year 1987, for the transaction of business as may come before the <br />meeting. If the day fixed for the annual meeting shall be on a <br />Saturday, Sunday or legal holiday in the State of Texas, such <br />meeting shall be held on the next business day. The Board of <br />Trustees may provide by resolution the time and place, either <br />within or without the State of Texas, for the holding of <br />additional regular ~eetings of the Board without other notice than <br />such resolution. <br /> <br />Special Meetings <br /> <br />3.08 Special meetings of the Board of Trustees may be called <br />by or at the request of the President or any two Trustees. The <br />person or persons authorized to call special meetings of the <br />Board may fix any place, either within or without the State of <br />Texas, as the place for holding any special meetings of the Board <br />called by them. <br /> <br />Notice <br /> <br />3.09 Notice of a regular annual meeting of the Board of <br />Trustees shall be given at least ten days previously thereto by <br />written notice delivered personally or sent by mail or telegram <br />to each Trustee at his address as shown by the records of the <br />corporation. Special meetings will only require three (3) days <br />notice. If mailed, such notice shall be deemed to be delivered <br />when deposited in the United states mail so addressed with postage <br />thereon prepaid. If notice be given by telegram, such notice <br />shall be deemed to be delivered when the telegræn is delivered to <br /> <br />3. <br />
