<br />Section 25. MANAGEMENT OF THE SYSTEM. (a) Pursuant to the authority <br />granted by Art. 1115, V.T.C.S., at all times while any Bonds or Additional Bonds are <br />outstanding, the system shan be managed by a board of trustees to be known as the <br />"Electric Utility Board" (the "Board"), consisting of four appointed members who are <br />resident, qualified voters of the City and ratepayers of the System, and the Mayor <br />of the City. The powers and duties of the Board, the manner of exercising same, the <br />appointment of successors, and other matters pertaining to its organization and <br />duties are provided hereinafter. <br /> <br />(b) The appointed members of the Board shall serve terms of office as <br />follows: the initial appointed members of the Board hereinafter named shall serve <br />respective terms to expire at the end of the first, second, third and fourth City <br />fiscal years hereafter; and members of the Board appointed upon the expiration of <br />each such term and their successors shall be appointed by the City Council to four <br />year terms of office, to expire at the end of the respective City fiscal years. The <br />persons hereinafter appointed as the initial appointed Board members shaH <br />determine among themselves their respective terms of office, and shall spread such <br />determination on the official minutes of the Board. The Mayor of the City shall be <br />a voting member of the Board, shall represent the City Council as such member, and <br />shall keep the City Council fully informed of the actions, deliberations and decisions <br />of the Board and its management of the System. <br /> <br />The following persons are hereby named and appointed as the initial <br />appointed members of the Board: <br /> <br />Ruben Ruiz, Sr. <br />Austin Curlee <br />R. G. PhiUips <br />Mary Borm <br /> <br />Each of said persons is hereby found and determined to be fully qua1ified to be <br />appointed to and serve as members of the Board. <br /> <br />All vacancies in membership on the Board (excepting the Mayor of the City), <br />whether by virtue of the refusal or failure of any persons appointed to the Board to <br />accept appointment or otherwise, shall be fi11ed by the City Council, and any <br />member of the Board appointed to fiU a vacancy shall serve for the unexpired <br />balance of the term for which appointment is so made. <br /> <br />A person who has served as an appointed member of the Board for a single <br />term shall be eligible for appointment to one additional four-year term and one such <br />term only. A member of the Board appointed by this Ordinance, and any member of <br />the Board appointed to fill a vacancy on the Board, shall not be considered as having <br />served for such a term unless the term, or unexpired portion of the term, as the case <br />may be, so served is three (3) years or more. <br /> <br />Permanent removal of residence from the City by an appointed member of <br />the Board shall vacate that member's office as a member of the Board, and any <br />member of the Board (excepting the Mayor of the City) who shall be absent from all <br /> <br />IO37f <br /> <br />-23- <br />
