<br />meetings held by the Board for a period of three (3) consecutive months, unless such <br />member shall have been granted a leave of absence by unanimous vote of the <br />remaining members of the Board, shall be considered for all purposes as having <br />resigned from and vacated his or her office as a member of the Board. Any member <br />of the Board (excepting the Mayor of the City) may be removed from office under <br />the terms of Section 3.17 of the Charter of the City of San Marcos. <br /> <br />(c) The Board shall elect one of its members as Chairman and one as <br />Vice-Chairman of the Board and shall appoint a Secretary and a Treasurer, or a <br />Secretary-Treasurer, who may, but need not, be a member or members of the <br />Board. If a member of the Board is not appointed as Secretary or Treasurer, or <br />Secretary-Treasurer, then, the City Manager of the City or his or her designee or <br />designees shall serve in such office or offices; provided that if and to the extent the <br />System budget permits, the Board instead may appoint to such office or offices an <br />employee or employees of the System whose duties in the operation of the System <br />requires performance of similar functions. The Board may adopt from time to time <br />such rules for the orderly conduct of its affairs as it may deem appropriate and, <br />subject to the limitations contained in this Ordinance, the Code of Ordinances of the <br />City of San Marcos, the Charter of the City of San Marcos. and the laws of the <br />State of Texas. conduct the affairs of the System in the same manner ordinarily <br />employed by the boards of directors of private corporations operating properties of <br />a similar nature; provided, however. no member of the Board shall ever vote by <br />proxy in the exercise of his or her duties as such Board member. <br /> <br />Consistent with the System budget, the Board may appoint and employ either <br />a General Manager of the System or an employee of the City to serve as liaison <br />between and among the City, the Board and any contract operator of all or part of <br />the System. attorneys, engineers, and other advisors and employees. In the event <br />the Board appoints and employs a General Manager of the System. the authorities, <br />powers, duties and limitations between the General Manager of the System and the <br />Board. shall be in the same relationship as the relationship between the City <br />Manager of the City and the City Council pursuant to the City Charter of the City, <br />as amended. The provisions of the City Charter and Ordinance relating to nepotism <br />and ethics and the Code of Ethics of the City, from time to time in force and <br />effect. shall be applicable to officers and employees of the System and the Board. <br /> <br />The members of the Board shall not be personally liable, either jointly or <br />severally. for any act or omission not willfully fraudulent or in bad faith. <br /> <br />The Board shall obtain and maintain continually in force an employees' <br />fidelity and indemnity "blanket" bond, written by a solvent and recognized indemnity <br />company authorized to do business in the State of Texas in the amount of not less <br />than is in force with respect to other employees of the city. <br /> <br />(d) Not less than ninety (90) days prior to the date on which a proposed <br />fiscal year budget is required by the City Charter or other applicable law to be <br />submitted to the City Council. the Board shall cause a System budget to be prepared <br />and filed with the City Manager of the City, setting forth. in such detail as from <br /> <br />1037f <br /> <br />-24- <br />
