<br />ATTACHMENT G, PAGE 1 <br /> <br />LICENSE AGREEMENT <br /> <br />BETWEEN <br /> <br />HMS, INC. AND <br />CITY OF SAN MARCOS, TEXAS <br /> <br />This Agreement entered into this /fL day of¿~~Þer-, 1986, by <br />and between the CITY OF SAN MARCOS, TEXAS (hereinafter <br />called Client) and HMB, Inc. a Georgia Corporation, with <br />principal offices at 1700 Water Place, Atlanta, Georgia 30339, <br />(hereinafter called HMB) for and in consideration of the <br />payments, covenants, and mutual undertakings, hereinafter set <br />forth do agree and contract with each other, as follows: <br /> <br />ARTICLE 1: PURPOSE: Client hereby agrees to utilize and <br />protect the proprietary computer software provided to the <br />Client as specified in this Agreement. HMB hereby agrees to <br />provide the computer software hereinafter specified including <br />all appropriate documentation. <br /> <br />ARTICLE 2: EXHIBITS: Attached hereto and made a part hereof <br />for all purposes are the following Exhibits: <br /> <br />Exhibit A: <br />Exhibit B: <br />Exhibit C: <br />Exhibit D: <br /> <br />Licensed Software Listing Schedule <br />Designated Equipment Schedule <br />Schedule of Charges <br />Data General Corporation Sublicense <br />Agreement <br /> <br />In the event of any conflict the provisions of this Contract <br />and the provisions of any Exhibit, the provisions of this <br />Contract shall govern. <br /> <br />ARTICLE 3: DEFINITIONS: The following terms are defined for <br />the purpose of this Agreement as follows: <br /> <br />A) "Licensed Software" - shall mean the design, technology, <br />conventions, source code,object code, flow charts, file <br />layouts, printed forms design, sample runs, operational <br />description, user manuals, sales literature, and other <br />documentation for the software set forth in Exhibit A, and any <br />subsequent version of the above created by Client or HMS. <br />Client will not use or attempt to use nor suffer nor permit its <br />directors, officers, agents, employees or third parties use or <br />attempt to use any software covered by this Agreement in a <br />manner outside of the terms of this Agreement. Client <br />recognizes that any such violation damages a considerable <br />market of HMS. The software is the valuable and confidential <br />proprietary material of HMS and Client shall be bound to <br />observe its proprietary nature. Operating system software, as <br />listed in Exhibit A, is the proprietary product of Data General <br />Corporation, and a sub-license shall be issued by HMS to the <br /> <br />-(- <br />
