<br />(10) Pay to CITY such sums as may be directed from <br />time to time by CITY, which sums will be placed <br /> <br />by CITY in a Fund designated by CITY and <br /> <br />concerning which LCRA will have no supervision <br /> <br />or obligation. <br /> <br />(11) Pay such other amounts associated with the <br /> <br />operation, maintenance, renewal and extension of <br /> <br />the SYSTEM as may be directed by formal resolu- <br />tion of the City Council of San Marcos. <br /> <br />It is the intent of LCRA and CITY that the 15% factor <br /> <br />set forth in items (1) through (4) above is a proxy for <br />difficult to quantify overhead costs incurred by LCRA for the <br /> <br />benefit of CITY's SYSTEM and not included in the "direct costs" <br /> <br />as defined above. <br /> <br />If, during the term of this Agreement, LCRA <br /> <br />or CITY are of the opinion that the normal overhead costs <br /> <br />incurred by LCRA for the benefit of CITY's SYSTEM can be more <br />accurately identified, LCRA and CITY agree to attempt to <br /> <br />develop a method that more closely reflects LCRA's actual <br /> <br />overhead costs incurred for the benefit of CITY's SYSTEM. <br /> <br />However, in no case will LCRA include the same costs in both <br /> <br />the "direct costs" and "overhead costs." <br /> <br />-19- <br />
