E. Applicable Law: This Agreement is governed by the laws of the State of Texas. Exclusive <br />venue for any dispute arising under this Agreement is in Hays County, Texas. <br />F. Public Information Act: The parties understand that the City is governed by the Texas <br />Public Information Act, Chapter 552 of the Texas Government Code. This Agreement and all <br />written information generated under this Agreement may be subject to release under the Act. <br />G. Termination: Either party may terminate this Agreement by giving a 30 calendar day <br />advance written notice of its intent to the other party. <br />H. Binding Effect. This Agreement shall take effect immediately upon execution by both <br />parties hereof and shall inure to the benefit and be binding upon the administrators, successors <br />and assigns of the parties hereto. The City and the University will not assign, sublet or transfer <br />any interest in this MOA except that the parties reserve their constitutional, statutory and <br />common law rights, privileges, immunities and defenses. <br />I. Amendments. This MOA, including appendices and referenced attachments represents <br />the entire and integrated Agreement between the City and the University and supersedes all prior <br />proposals, negotiations, representations or agreements either written or oral between the parties. <br />This MOA may be amended only by separate written instrument approved by the City and <br />signed by both the City and University. <br />J. Notice. Unless otherwise specified, written notice shall be deemed to have been duly served <br />if delivered in person or sent by certified mail to the last business address as listed herein. <br />Texas State University — San Marcos: William A.
