Manager will consult with youth and organizations that represent youth to determine <br />their needs and develop programs in response to those needs. <br />2) Contribute no less than 50% of the total compensation (including benefits) necessary <br />for the Position, contingent on the availability of funding. <br />3) Meet with the University's representative at least once annually, outside of the <br />Commission meetings, to assess progress of the work of the Youth Services Manager <br />and to set goals, determine budget and provide direction, including the promotion of <br />post secondary educational opportunities, for the upcoming year's work. <br />B. University Agreements: <br />The University agrees to: <br />1) Provide no less than $12,500.00 to the City towards the funding necessary for the <br />Position, contingent on the availability of funding. <br />2) Meet with the City representative at least once annually, outside of the Commission <br />meetings, to assess progress of the work of the Youth Services Manager and to set <br />goals, determine budget and provide direction, including the promotion of post <br />secondary educational opportunities, for the upcoming year's work. <br />Section 2. Term <br />The term of this Agreement will commence on the date established below as the effective <br />date and will continue indefinitely unless terminated in accordance with Section 3. G. below. <br />Section 3. Miscellaneous Provisions <br />A. Cooperation: The City and the University agree to cooperate with each other in good faith at <br />all times during the term of this Agreement in order to achieve the purposes and intent of this <br />Agreement. Each party to this Agreement acknowledges and represents that this Agreement has <br />been executed by its duly authorized representative. <br />B. Funding: The City and University acknowledge that funding under this Agreement will be <br />made from current revenues legally available to the City and the University. <br />C. Entire Agreement: This Agreement contains the entire agreement between the parties and <br />supersedes all prior understandings and agreements between the parties regarding such matters. <br />This Agreement may not be modified or amended except by written agreement executed by both <br />parties. Neither party may assign this Agreement without the written consent of the other party. <br />D. Invalid Provisions: Should any provision in this Agreement be found or deemed invalid, this <br />Agreement will be construed as not containing the provision and all other provisions that are <br />otherwise lawful will remain in full force and effect, and to this end, the provisions of this <br />Agreement are declared severable. <br />2 <br />
