Developer shall use its best <br /> efforts to have the Board of Directors of the District conduct an <br /> election for the confirmation of the creation of the District and <br /> to approve and execute this Agreement within eighteen <18) months <br /> after the execution of this Agreement by the City. <br /> ARTICLE XII <br /> JOINT CONTRACTING <br /> Except as otherwise provided by this Agreement, the <br /> District shall be and is hereby authorized to contract with any <br /> entity, individual, governmental authority or political <br /> subdivision for the operation and maintenance of any water, <br /> wastewater or other facilities which are within the power of the <br /> District to operate or maintain. <br /> ARTICLE XIII <br /> SEVERABILITY AND ENFORCEABILITY <br /> The provisions of this Agreement are severable and, in <br /> the event any word, phrase, clause, sentence, paragraph, section <br /> or other provision of this Agreement, or the application thereof <br /> to any person or circumstance, shall ever be held or determined <br /> by a court of competent jurisdiction to be invalid, illegal or <br /> unenforceable for any reason, the remainder of this Agreement <br /> shall remain in full force and effect and the application thereof <br /> to any other person or circumstance shall not be affected <br /> thereby. The invalid, illegal or unenforceable provision shall <br /> be reviewed and rewritten to accomplish the parties' original <br /> intent as nearly as possible. <br /> In the event that the Texas Water Commission determines <br /> that any provision of this Agreement is beyond the scope of the <br /> Texas Water Code, the City, Developer and the District agree to <br /> immediately amend this Agreement to conform to such ruling or <br /> decision and to accomplish the parties' original intent as nearly <br /> as possible. <br /> -30- <br />
