<br /> FRED SAFFER UTILITY CONSULTANTS, INC. <br /> CONSULTING AGREEMENT <br /> with <br /> THE CITY OF SAN MARCOS, TEXAS <br /> SCHEDULE A <br /> Fred Saffer Utility Consultants, Inc. (the <br /> "Consultant") will provide consulting services to The City <br /> of San Marcos, Texas (the "Client") with respect to the of- <br /> fer by the Lower Colorado River Authority ("LCRA") to sell <br /> to the Client certain electric distribution facilities. <br /> At the request of the Client, the Clients' Special <br /> Legal Counsel John W. Davidson, Black & Veatch Engineers- <br /> Architects, and the Consultant have established a general <br /> scope of consulting services for the project and a division <br /> of work between Black & Veatch and the Consultant that would <br /> provide the maximum benefits to the Client from the use of <br /> two consultants while minimizing any duplication of work ef- <br /> fort by the consultants. <br /> The Consulting services to be provided to the <br /> Client by the Consultant during each phase of the project <br /> are as follows: <br /> Phase I - Preliminary Feasibility Study <br /> (a) The Consultant will prepare an initial <br /> request for data from LCRA and provide that <br /> request to Black & Veatch for inclusion of <br /> additional data requests. <br /> (b) At the request of Clients' Special Counsel, <br /> the Consultant will attend all meetings with <br /> LCRA, the Client and Black & Veatch in order <br /> to assist Black & Veatch when requested and <br /> develop background information and knowledge <br /> for Phase II work. <br /> (c) At the request of Client's Special Counsel, <br /> the Consultant will assist Black & Veatch in <br /> gathering data from LCEA necessary for Black <br /> & Veatch to complete the Preliminary <br /> Feasibility Study and provide the Consultant <br /> with information required for the negotiating <br /> phase of the project. <br />
