FRED SAFFER UTILITY CONSULTANTS, INC. CONSULTING AGREEMENT with THE CITY OF SAN MARCOS, TEXAS SCHEDULE A Fred Saffer Utility Consultants, Inc. (the "Consultant") will provide consulting services to The City of San Marcos, Texas (the "Client") with respect to the of- fer by the Lower Colorado River Authority ("LCRA") to sell to the Client certain electric distribution facilities. At the request of the Client, the Clients' Special Legal Counsel John W. Davidson, Black & Veatch Engineers- Architects, and the Consultant have established a general scope of consulting services for the project and a division of work between Black & Veatch and the Consultant that would provide the maximum benefits to the Client from the use of two consultants while minimizing any duplication of work ef- fort by the consultants. The Consulting services to be provided to the Client by the Consultant during each phase of the project are as follows: Phase I - Preliminary Feasibility Study (a) The Consultant will prepare an initial request for data from LCRA and provide that request to Black & Veatch for inclusion of additional data requests. (b) At the request of Clients' Special Counsel, the Consultant will attend all meetings with LCRA, the Client and Black & Veatch in order to assist Black & Veatch when requested and develop background information and knowledge for Phase II work. (c) At the request of Client's Special Counsel, the Consultant will assist Black & Veatch in gathering data from LCEA necessary for Black & Veatch to complete the Preliminary Feasibility Study and provide the Consultant with information required for the negotiating phase of the project.
