<br /> (d) In order for the Consultant to provide the <br /> Client with a second independent opinion with <br /> respect to the Preliminary Feasibility Study, <br /> and background information and data necessary <br /> for the Consultant's Phase II work, Black & <br /> Veatch will provide the Consultant with <br /> assumptions and calculations during the <br /> preparation of the study and the Consultant <br /> and Black & Veatch will review the draft <br /> report with the Client's Special Counsel. <br /> Phase 11- Negotiations <br /> (a) The Client's Special Counsel and the <br /> Consultant will take lead roles in the day- <br /> to-day negotiations with LCRA with respect to <br /> the purchase price of the facilities, the <br /> wholesale power service contract, any <br /> operation and maintenance contract and any <br /> technical services contract. <br /> (b) The Consultant will utilize the technical <br /> resources of Black & Veatch when required <br /> during the Phase II work. <br /> (c) The Consultant will rely on the Client's <br /> Special Counsel to coordinate the Phase II <br /> work effort. <br /> Phase III - Approvals <br /> At the request of the Client and the <br /> Client's Special Counsel, the Consultant will <br /> assist the Client in the approval phase of the <br /> project. <br /> Phase IV - Financing <br /> At the request of the Client, the Client's Special <br /> Counsel and Black & Veatch, the Consultant will <br /> provide assistance in the financing phase of the <br /> project. <br />
