Lessor agrees to notify Lessee in <br /> writing as soon as practicable of any claim, demand or action arising <br /> out of an occurrence covered hereunder of which Lessor has knowledge, <br /> and to cooperate with Lessee in the investigation and defense thereof. <br /> ARTICLE IX. <br /> INDEMNIFICATION <br /> The Lessee shall hold the City of San Marcos, the Airport Commission, <br /> the Airport Manager, and all other Airport personnel, and the <br /> officers, and agents harmless from and against all suits, claims, <br /> demands, actions, and/or causes of action of any kind or nature in any <br /> way arising out of, or resulting from his tenancy and activities, and <br /> shall pay all expenses in defending any claims against the City and <br /> its officers by reason of his tenancy and activities. <br /> ARTICLE X. <br /> LESSEE AS INDEPENDENT CONTRACTOR <br /> In conducting its business hereunder, Lessee acts as an independent <br /> contractor and not as an agent of Lessor.
