services under the Interlocal Cooperation Act. <br />1.06. For the reasons above, the parties wish to enter into this Agreement for the <br />purpose of delineating the obligations and financial contributions of the Parties with regard to the <br />design and construction of the Roadway Improvements. <br />II. Term <br />This Agreement shall be effective from the Effective Date stated above and shall <br />terminate upon each Party's performance of the obligations set forth in this Agreement or earlier <br />termination by a Party as allowed below. <br />111. Obligations of the Parties <br />3.01. Coordination and Scheduling. Upon execution of this Agreement by both Parties, <br />the Superintendent of the SMCISD and the City Manager of the City shall designate one or more <br />representatives responsible for coordinating the various activities under this Agreement. <br />3.02. Design of Roadway Improvements. The SMCISD has contracted with Bowman <br />Engineering and Consulting, Inc. ( "Bowman ") for civil engineering services related to the <br />improvements to Maria Hernandez Elementary School. The Parties agree that Bowman will also <br />design the Roadway Improvements. Accordingly, the SMCISD will authorize a contract <br />amendment or change order to the contract with Bowman to add the design of the Roadway <br />Improvements to the existing scope of work. For the portion of the design work under the <br />contract that is related to the Roadway Improvements, the amendment or change order will <br />provide for insurance and indemnification from Bowman for the benefit of the City that is the <br />same as that provided for the SMCISD and will acknowledge the City as third party beneficiary <br />that may seek remedies as specified in the contract for enforcement of the contract. <br />A.
