<br /> 43 <br /> CONTRACT FOR CONSULTANT SERVICES <br /> THE STATE OF TEXAS X <br /> COUNTY OF HAYS X <br /> THIS AGREEMENT, made and executed this 23 day <br /> of July, 1984, by and between the CITY OF SAN MARCOS, <br /> Texas, a municipal corporation, organized and existing under the laws <br /> of the State of Texas and situated in Hays County, Texas, acting <br /> through its Mayor, hereunto duly authorized, and hereinafter called <br /> the OWNER, and CHARLES WILLIS & ASSOCIATES, INC., a Texas Corporation <br /> hereinafter called the CONSULTANT. <br /> WHEREAS, the OWNER desires to obtain consulting services in <br /> connection with the design of overlay of stub taxiways, construction <br /> of parallel taxiway to Runway 12-30 at San Marcos Municipal Airport, <br /> herein after called the PROJECT. <br /> WHEREAS, the OWNER desires to obtain professional consulti ng <br /> services in connection with the PROJECT to make studies, to design the <br /> contemplated improvements, to prepare plans and specifications for <br /> construction, and to provide general administration of construction <br /> and to provide full time construction inspection. <br /> WHEREAS, the CONSULTANT is qualified and capable of performing <br /> the professional services proposed herein, is acceptable to the <br /> OWNER, and is willing to enter into a contract with the OWNER to <br /> perform such services; <br /> NOW, THEREFORE, be it resolved, that the parties hereto do <br /> mutually agree as follows: <br /> ARTICLE 1 <br /> DEFINITION OF TERMS <br /> 1.1 Construction Cost Construction cost is defined as the <br /> total cost to the OWNER for the execution of the work authorized at <br /> one time and handled in each separate phase of engi neeri ng <br /> services, excluding charges or other costs for consulting and 1 ega 1 <br /> services, the cost of land, rights-of-way, legal and administrative <br /> expenses; but including the direct cost to the OWNER of all <br /> construction contracts, items of construction, including labor, <br /> materials and equipment, required for the completed work (including <br />
