<br />21. Consider approval, by motion, to authorize City Manager Jared Miller to extend an
<br />offer to Upland Analytics, Inc., to enter into a Chapter 380 Economic Development
<br />Incentive Agreement to induce the company to locate its operations in the City of San
<br />Marcos.
<br />A motion was made by Council Member Becak, seconded by Council Member Thomaides, to amend
<br />the offer to include the following conditions: 1) Personal guarantee from Mr. Prior for the full loan
<br />amount of $800,000, 2) Corporate guarantee for the full amount of the loan, 3) Stock in the company
<br />owned by Mr. Prior to be pledge as collateral, 4) Any trademark or patent rights pledged as collateral,
<br />5) Account receivable to be pledged as collateral (we should be in second position behind the State
<br />on this collateral), 6) Key Man life insurance in the amount of the loan on Mr. Prior. The motion
<br />carried by the following vote:
<br />For: 7 - Mayor Guerrero, Deputy Mayor Pro Tern Becak, Council Member Prather and Council
<br />Member Prewitt, Mayor Pro Tern Thomaides, Council Member Scott, and Council Member Thomason
<br />Against: 0
<br />A motion was made by Council Member Scott, seconded by Council Member Becak, to authorize City

<br />22. Discuss and consider appointments to the Sunset Advisory Commission, and provide
<br />direction to Staff.
<br />A motion was made by Council Member Becak, seconded by Council Member Prather, to approve
<br />the appointments of Shawn Ash, Jason Montgomery, Naomi Narvaiz, George Landry, Jim Garber,
<br />Frank Arredondo, Sr, and Bucky Couch to the Sunset Advisory Commission, as previously
<br />captioned. The motion carried by the following vote:
<br />For: 7 - Mayor Guerrero, Deputy Mayor Pro Tern Becak, Council Member Prather and Council
<br />Member Prewitt, Mayor Pro Tern Thomaides, Council Member Scott, and Council Member Thomason

<br />23. Consider an appointment by Mayor Daniel Guerrero to the Comprehensive Plan
<br />Oversight Committee.
<br />A motion was made by Mayor Guerrero, seconded by Council Member Scott, to approve the
<br />appointment of Mr. Ron Hart to the Comprehensive Plan Oversight Committee, as previously
<br />captioned. The motion carried by the following vote:
