SUBLEASE AGREEMENT <br />THIS SUBLEASE AGREEMENT ( "Sublease ") is made and entered into effective <br />as of March 17, 2014 (the "Effective Date "), by and between Caroline Aviation, <br />L.L.C., a Texas limited liability company ( "Sublessor "), and Ricardo Moreno, dba <br />Corp Jet Aviation Service ( "Sublessee "). <br />RECITALS: <br />A. The City of San Marcos, Texas, a municipal corporation (the "Landlord "), <br />as landlord, and Sublessor, as tenant, have made and entered into that certain Lease of <br />Unimproved Airport Property for Construction and Operation of Business Facilities <br />signed by both parties on December 28, 2005 (said Lease Agreement, together with all <br />amendments thereto before or after the Effective Date, the "Primary Lease "), which <br />Primary Lease provides for the lease and demise by Landlord to Sublessor of those <br />certain premises more particularly described in the Primary Lease, but which are <br />generally described as a 16,914 square foot tract of land located in Caldwell County, <br />Texas, and located within the airport (the "San Marcos Municipal Airport") known as <br />the San Marcos Municipal Airport (the "Primary Lease Premises "). <br />B. The Landlord, the Sublessor and the Sublessee have made and entered <br />into that certain Agreement Authorizing Use of Airport Property for Operation of <br />Business dated effective as of March 17, 2014 (said Agreement, together with all <br />amendments thereto before or after the Effective Date, the "Use Agreement"). <br />C. The Primary Lease and the Use Agreement (collectively, the "Lease and <br />Use Documents ") set forth certain terms and conditions with respect to the use of the <br />San Marcos Municipal Airport by the Sublessor and the Sublessee. <br />D. Sublessor desires to sublease to Sublessee the below- described portion <br />of the Primary Lease Premises, and Sublessee desires to accept and sublease the <br />same, all upon and subject to the terms and conditions set forth hereinbelow. <br />AGREEMENT: <br />NOW, THEREFORE, for and in consideration of the above and foregoing <br />premises and in consideration of the mutual terms, conditions, covenants and <br />agreements herein contained, and for other good and valuable consideration, the <br />receipt and sufficiency of which are hereby acknowledged by each of the parties hereto, <br />Sublessor and Sublessee hereby covenant and agree as follows: <br />1. Demise and Description of Property. Sublessor hereby subleases to <br />Sublessee, and Sublessee hereby subleases from Sublessor, upon and subject to the <br />terms, limitations and conditions set forth herein and in the Primary Lease, and subject <br />to the terns, limitations and conditions set forth in the Use Agreement, that portion (the <br />1205992.2 , / <br />
