CHAPTER 380 ECONOMIC DEVELOPMENT INCENTIVE AGREEMENT <br />This agreement (the "Agreement ") is entered into as of May 6, 2014 (the "Effective Date ") <br />by and between the City of San Marcos, Texas (the "City "), a Texas municipal corporation, and <br />Upland Analytics, Inc., a Georgia Corporation, authorized to conduct business in the State of Texas <br />( "Upland "). The City and Upland may collectively be referred to as the "Parties ". <br />PART 1. RECITALS <br />Section 1.01. The City seeks to attract and retain a diverse range of businesses that provide <br />well - paying jobs necessary for economic stability. <br />Section 1.02. Upland is a technology- enabled asset documentation management and <br />valuation services firm currently based in the State of Georgia. <br />Section 1.03. Upland is experiencing steady growth in its business and anticipates hiring <br />new employees in conjunction with the development of proprietary software and systems to enhance <br />services to its customers. <br />Section 1.04. Upland seeks an economic development incentive from the City to relocate <br />and expand its key operations, including its headquarters, from the State of Georgia to the City. <br />Section 1.05. The City is authorized under Chapter 380 of the Texas Local Government <br />Code ( "Chapter 380 ") to offer certain economic development incentives for public purposes, <br />including the promotion of local economic development and the stimulation of business and <br />commercial activity in the City. <br />Section 1.06. Providing an incentive to Upland under the terms and conditions of this <br />Agreement is consistent with the public purposes of Chapter 380 and the economic development <br />objectives of the City. <br />Section 1.07.
