benefits to and promises of the Parties set forth below, the Parties want to enter into this Agreement <br />and agree to the terms and conditions set forth in this Agreement. <br />PART 2. CHAPTER 380 PROGRAM ESTABLISHED <br />Pursuant to Chapter 380, the City Council, hereby finds that a public necessity exists for and <br />authorizes the establishment of a program under which the City will provide incentives to Upland <br />subject to terms hereinafter provided, to assist in and effectuate the economic development <br />objectives of the City as set forth in the Recitals. The City Council finds and determines that the <br />economic development program established by this Agreement is necessary to promote local <br />economic development and stimulate business and commercial activity within the City. <br />PART 3. CHAPTER 380 INCENTIVE <br />Section 3.01. Maximum Incentive Amount. The City agrees to provide financial <br />incentives to Upland in a maximum cumulative amount up to $125,000.00 subject to the terms and <br />conditions in this Agreement below. <br />Section 3.02. Relocation to the City. Upland shall relocate its headquarters and <br />primary business operations to the City of San Marcos on or before July 1, 2014. Said relocation <br />shall be evidenced by submission of such information acceptable to the City Manager of the City <br />verifying that the relocation has occurred such as, but not limited to, certificates of occupancy, <br />governmental and agency filings, and marketing or advertising information. <br />Section 3.03. Job Creation. Upland shall employ up to 125 persons in permanent full- <br />time positions working at Upland's headquarters office in the City of San Marcos as follows: <br />Cumulative jobs on or before December 31, 2014: 15 <br />Cumulative jobs on or before December 31, 2015: 40 <br />Cumulative jobs on or before December 31, 2016: 65 <br />
